Conditions of Building Loan Closing. The obligation of Agent to execute and deliver on the Closing Date the Loan Documents to which it is a party shall be subject to the following conditions precedent, unless any such condition precedent is waived by Agent in its sole discretion (and Agent hereby agrees that its execution and delivery of this Agreement constitutes an acknowledgment that all such conditions precedent have been satisfied or waived as a condition precedent to the closing hereunder):
