CONDITION; TERMINATION. The obligations of ▇▇▇▇▇▇ and ▇▇▇▇▇▇ to contribute the ERA Shares to the Company shall be subject to the consummation of the Transactions and if the Merger Agreement is terminated prior to the consummation of the Transactions, then this Agreement will terminate and be of no further force or effect.
