Common use of Condition of Fixed Assets Clause in Contracts

Condition of Fixed Assets. All of the plants, structures and equipment (the "Fixed Assets") owned by Target are in good condition and repair, ordinary wear and tear excepted, for their intended use in the ordinary course of business, (provided, however, that such representations and warranties are intended to describe the condition of such property in general, and not to warrant the condition of each and every item of such property) and conform in all material respects with all applicable ordinances, regulations and other laws and there are no known latent defects therein.
