Computational Materials and ABS Term Sheets. (a) Each Underwriter agrees to provide to the Bank, not less than two Business Days prior to the date on which the Bank is required to file the Prospectus Supplement pursuant to Rule 424(b), any information used by it (in such written or electronic format as required by the Bank) with respect to the offering of the Certificates that constitutes "Computational Materials," as defined in the Commission's No-Action Letter, dated May 20, 1994, addressed to Kiddxx, Xxabxxx Xxxeptance Corporation I, Kiddxx, Xxabody & Co. Incorporated and Kiddxx Xxxuctured Asset Corporation (as made generally applicable to registrants, issuers and Underwriter[s] by the Commission's response to the request of the Public Securities Association dated May 27, 1994 (the "Kiddxx/XXX Letter")), that is not contained in the Prospectus (without taking into account information incorporated therein by reference).

Xo. Incorporated and Kiddxx Xxxuctured Asset Corporation (as made generally applicable to registrants, issuers and Underwriter[s] underwriters by the Commission's response to the request of the Public Securities Association dated May 27, 1994 (the "Kiddxx/XXX Letter")), that is not contained in the Prospectus (without taking into account information incorporated therein by reference).
