Common use of Compliance with Statutes, Regulations, Etc Clause in Contracts

Compliance with Statutes, Regulations, Etc. Holdings will, and will cause each Restricted Subsidiary to, (a) comply with all applicable laws, rules, regulations and orders, including, without limitation, applicable Sanctions and Anti-Terrorism Laws and the FCPA, and all governmental approvals or authorizations required to conduct its business, and to maintain all such governmental approvals or authorizations in full force and effect, (b) comply with, and use commercially reasonable efforts to ensure compliance by all tenants and subtenants, if any, with, all Environmental Laws, and obtain and comply with and maintain, and use commercially reasonable efforts to ensure that all tenants and subtenants obtain and comply with and maintain, any and all licenses, approvals, notifications, registrations or permits required by Environmental Laws and (c) conduct and complete all investigations, studies, sampling and testing, and all remedial, removal, and other actions required under Environmental Laws and promptly comply with all lawful orders and directives of all Governmental Authorities regarding Environmental Laws, other than such orders and directives which are being timely contested in good faith by proper proceedings, except in each case of (a), (b) and (c) of this Section 9.6, where the failure to do so would not reasonably be expected to result in a Material Adverse Effect.

Holdings The Borrower will, and will cause each Restricted Subsidiary to, (a) comply with all applicable laws, rules, regulations regulations, and orders, including, without limitation, orders applicable Sanctions and Anti-Terrorism Laws and the FCPAto it or its property, and all governmental approvals or authorizations required to conduct its business, and to maintain all such governmental approvals or authorizations in full force and effect, (b) comply with, and use commercially reasonable efforts to ensure compliance by all tenants and subtenants, if any, with, all Environmental Laws, and obtain and comply with and maintain, and use commercially reasonable efforts to ensure that all tenants and subtenants obtain and comply with and maintain, any and all licenses, approvals, notifications, registrations or permits required by Environmental Laws Laws, and (c) conduct and complete all investigations, studies, sampling and testing, and all remedial, removal, and other actions actions, in each case as required under Environmental Laws and promptly comply with all lawful orders and directives having the force and effect of law of all Governmental Authorities regarding Environmental Laws, other than such orders and directives which are being timely contested in good faith by proper proceedings, except except, in each case of (a), (b) and (c) of this Section 9.6case, where the failure to do so would not reasonably be expected to result in a Material Adverse Effect.
