Common use of Compliance with Legal Process Clause in Contracts

Compliance with Legal Process. In the event that either party is legally requested or required (by oral questions, interrogatories, requests for information or documents, subpoena, Civil Investigative Demand or similar process or, in the opinion of counsel for such party, by federal or state securities or other statutes, regulations or laws) to disclose any Information, such party shall promptly notify the other party of such request or requirement prior to disclosure so that the other party may seek an appropriate protective order and/or waive compliance with the terms of this Agreement.

In the event that either the receiving party is legally requested or required (by oral questions, interrogatories, requests for information or documents, subpoena, Civil Investigative Demand civil investigative demand or similar process or, in the opinion of counsel for such the receiving party, by federal or state securities or other applicable statutes, regulations or laws) to disclose any Confidential Information, such the receiving party shall promptly notify the other originating party of such request or requirement prior to disclosure so that the other originating party may seek an appropriate protective order and/or waive compliance with the terms of this Agreement.
