Common use of Compliance with Laws and Other Agreements Clause in Contracts

Compliance with Laws and Other Agreements. The Company shall, and shall cause each of its Material Subsidiaries to, comply with all applicable laws, rules, regulations, orders and directions of any Governmental Agency having jurisdiction over it or its business and all covenants and other obligations contained in any material agreements to which the Company or any Material Subsidiary is a party, except where the failure to so comply would not be adverse in any material respect to the Holders.

The Company shall, and shall cause each of its Material Significant Subsidiaries to, comply with all applicable laws, rules, regulations, orders and directions of any Governmental Agency having jurisdiction over it or its business and all covenants and other obligations contained in any material agreements to which the Company or any Material Subsidiary is a party, except where the failure to so comply would not be adverse in any material respect to the Holders.
