Common use of Compliance with Laws and Court Orders Clause in Contracts

Compliance with Laws and Court Orders. Seller is not in violation of, and, to Seller's Knowledge, is not under investigation with respect to and has not been threatened to be charged with or given notice of any violation of, any law, rule, regulation, judgment, injunction, order or decree applicable to the Purchased Assets, except for violations that have not had and could not reasonably be expected to have, individually or in the aggregate, a Seller Material Adverse Effect.

Compliance with Laws and Court Orders. To the Knowledge of Seller, Seller is not in violation of, and, to Seller's Knowledge, is not under investigation with respect to and has not been threatened to be charged with or given notice of any violation of, any law, rule, regulation, judgment, injunction, order or decree applicable to the Purchased AssetsAssets or the conduct of the Business, except for violations that have not had and could which would not reasonably be expected to have, individually or in the aggregate, have a Seller Material Adverse Effect.

(a) Seller is not in violation of, and, to Seller's Knowledge, is not under investigation with respect to and has not been threatened to be charged with or given notice of any violation of, any law, rule, regulation, ordinance, judgment, injunction, permit, order or decree that is applicable to the Purchased AssetsAssets or Seller’s conduct of the Business (collectively, except for violations that have not had and could not reasonably be expected to have, individually or in the aggregate, a Seller Material Adverse Effect“Orders”).

Compliance with Laws and Court Orders. To the knowledge of Seller, Seller is not in violation of, andhas not since January 1, 2002 violated, and to Seller's Knowledge, the knowledge of Seller is not under investigation with respect to and has not been threatened to be charged with or given notice of any violation of, any law, rule, regulation, judgment, injunction, order or decree applicable to the Purchased Assets, except for violations that have not had and could not reasonably be expected to have, individually Assets or in the aggregate, a Seller Material Adverse Effectconduct of the Business.

Except as set forth in Schedule 5.8, to the best of Seller’s Knowledge, Seller is not in violation ofof and has not violated, and, and to the best of Seller's ’s Knowledge, Seller is not under investigation or inquiry with respect to and has not been threatened to be charged with or given notice of any violation of, any law, rule, regulation, judgment, injunction, order or decree applicable to the Business or the Purchased Assets, except for violations that have not had and could not reasonably be expected to havebe material to the Purchased Assets and Assumed Liabilities, individually taken together, or in the aggregate, a Seller Material Adverse EffectBusiness.
