Completion Documentation. Upon completion of the project and prior to release of the final payment, the grantee shall submit all documentation described in the Project Completion Documentation Form available from the County Manager's Office at ▇▇▇ ▇. ▇▇▇▇▇▇ ▇▇▇▇▇▇, ▇▇▇▇ ▇▇▇, ▇▇▇▇▇▇▇▇, ▇▇ ▇▇▇▇▇.
Completion Documentation. The Sellers shall deliver to the Buyer:
(a) duly completed and executed transfers of the Sale Shares in favour of the Buyer or as it directs;
(b) share certificates in respect of the Sale Shares (or a duly executed deed of indemnity in the agreed form in favour of the Company with respect to any certificate which has been lost or destroyed);
(c) the Disclosure Letter, duly executed by the Warrantors;
(d) the Retention Agreement, duly executed by the Sellers' Representative;
(e) letters (executed as a deed in the agreed form) from:
(i) ▇▇▇▇▇▇▇ ▇▇▇▇▇▇ as the secretary of the Company; and
(ii) ▇▇▇▇▇▇ ▇▇▇▇▇▇ as a director of the Company, resigning from their respective offices;
(f) the Service Agreement, duly executed by ▇▇▇▇▇▇ ▇▇▇▇▇▇;
(g) the unaudited financial statements of the Company for the financial years 2021 and 2022 and up-to-date financial information for the financial year 2022 in the agreed form;
(h) a letter in the agreed form from ▇▇▇▇▇▇ ▇▇▇▇▇▇ confirming that he has ceased to be a registrable person (within the meaning of section 790C of the Companies Act 2006);
(i) releases (executed as a deed in the agreed form) of all and any claims that the Sellers and their respective Connected Parties may have against the Company;
(j) evidence satisfactory to the Buyer of the authority of any person executing any of the documents delivered to the Buyer under this Paragraph 1 on behalf of any other person;
(k) the original of the certificate of incorporation and all (if any) certificates of incorporation on change of name of the Company;
(l) the register of members and other statutory registers and minute books of the Company duly made up to Completion;
(m) all passcodes, identification numbers and other information required to operate any electronic filing or similar arrangement which the Company has with the Registrar of Companies or any similar registry in any other jurisdiction;
(n) all the current cheque books, paying in books and unused cheques of the Company and all relevant passcodes and identification numbers in respect of any online banking facilities; and
(o) duly executed copies of the Option Exercise Notices signed by each Option Holder.

Completion Documentation. The Sellers shall deliver to the Buyer (to the extent not delivered to the Buyer prior to Completion):
(a) a letter in a form satisfactory to the Buyer from the auditors of the Company confirming that no Tax Clearance Certificate pursuant to section 980 of the TCA is required;
(b) Tax reference number of each Seller for the purposes of the Stamp Duty (E-stamping of Instruments and Self-Assessment) Regulations 2012;
(c) ▇▇▇▇ completed and executed transfers of the Sale Shares in favour of the Buyer or as it directs;
(d) original share certificates in respect of the Sale Shares (or a duly executed deed of indemnity in the agreed form in favour of the Company with respect to any certificate which has been lost or destroyed);
(e) a duly executed irrevocable power of attorney from each Seller in favour of the Buyer (or its nominee(s)) generally in respect of registered interest in the Sale Shares and in particular to enable the Buyer or its nominee(s) to attend and vote at general meetings of the Company pending registration of the Buyer (or its nominee) in the Register of Members of the Company;
(f) the original of any power of attorney, under which any document to be delivered to the Buyer under this paragraph 1, has been executed;
(g) the Disclosure Bundle USB Stick, in a form satisfactory to the Buyer, that the Disclosure Bundle USB Stick only contains copies of documents that are listed in the Disclosure Documents Index (as defined in the Disclosure Letter);
(h) the Disclosure Letter, duly executed by the Warrantors;
(i) the Tax Deed in the agreed form duly executed by the Warrantors;
(j) letters in the agreed form duly executed as a deed from the outgoing directors and secretaries of each Group Company in each case resigning from their respective offices (with effect from the end of the meetings held pursuant to paragraph 2 of this Schedule) and acknowledging that the writer has no claim against the relevant Group Company for compensation for loss of office, redundancy, unfair dismissal breach of contract or otherwise arising from such resignation;
(k) the Service Agreements, duly executed by each Seller;
(l) the audited financial statements of the Company for the financial years 2019, 2020, 2021, 2022 and 2023;
(m) copies of all bank mandates of each Group Company together with bank statements or other suitable information showing the financial situation of each Group Company with their bankers at close of business on the latest practicable date before t...
Completion Documentation. Upon the completion of a Project at any Retail Property, the Borrowers shall deliver such documentation as may be reasonably required by Agent based upon the applicable Construction Budget including, to the extent in Borrower’s possession and control: (i) copies of all material contract documents, as well as required mark-ups made by the applicable contractor to indicate the as-built conditions and warranties, (ii) substantial completion certificates, (iii) final certification for payment, (iv) all final Lien Waiver and (v) a temporary or final certificate of occupancy or other evidence of permitted occupancy for each completed Project, and related schedules.
Completion Documentation. If not already submitted pursuant to Section 3.3(F) above above, within thirty (30) days of issuance of the final certificate of occupancy for the Project, the Borrower shall promptly deliver to the Participating Lenders the following:
(i) certificates of occupancy for all units to be created or rehabilitated by the Project; and
(ii) Architect’s Certificate of Substantial Completion on AIA Form G704 .
