Common use of Completeness of Disclosure Clause in Contracts

Completeness of Disclosure. No representation or warranty and no Schedule, Exhibit, or certificate prepared by Seller pursuant hereto and no statement made or other document prepared by Seller and furnished to Purchaser by Seller contains any untrue statement of a material fact or omits or will omit any material fact necessary in order to make the statements contained therein not misleading.

Completeness of Disclosure. No representation or warranty and no Schedule, Exhibit, or certificate incorporated herein and prepared by Seller Purchaser pursuant hereto and no statement made or other document prepared by Seller Purchaser and furnished to Seller by Purchaser by Seller contains any untrue statement of a material fact or omits or will omit any material fact necessary in order to make the statements contained therein not misleading.

Completeness of Disclosure. No representation or warranty by Seller in this Agreement including the Schedules, Exhibits, and no Schedule, Exhibit, or certificate certificates prepared by Seller pursuant hereto and no statement made or other document prepared by Seller and furnished to Purchaser by Seller incorporated herein, contains any untrue statement of a material fact or omits or will omit any material fact necessary in order to make the statements contained therein herein not misleading.

No representation or warranty and no Schedule, Exhibit, or certificate prepared by Seller Purchaser pursuant hereto and no statement made or other document prepared by Seller Purchaser and furnished to Seller by Purchaser by Seller contains any untrue statement of a material fact or omits or will omit any material fact necessary in order to make the statements contained therein not misleading.

No representation or warranty and no Schedule, Exhibit, or certificate prepared by Seller pursuant hereto in this Agreement, and no statement made or other document prepared by Seller and in the Seller Disclosure Schedule, the Exhibits attached hereto or any certificate furnished or to be furnished to Purchaser by Seller Buyer pursuant hereto contains or will at the Closing contain any untrue statement of a material fact or omits or will omit to state any material fact necessary in order to make any statement herein or therein, in light of the statements contained therein circumstances under which they were made, not misleading.

No representation or warranty by either Seller in this Agreement including the Schedules, Exhibits, and no Schedule, Exhibit, or certificate certificates prepared by Seller pursuant hereto and no statement made or other document prepared by Seller and furnished to Purchaser by Seller Sellers incorporated herein, contains any untrue statement of a material fact or omits or will omit any material fact necessary in order to make the statements contained therein herein not misleadingmisleading to the best of Sellers’ and Principals’ knowledge, information and belief.
