Completeness of Disclosure. No representation or warranty by Pubco in this Agreement nor any certificate, schedule, statement, document or instrument furnished or to be furnished to Priveco pursuant hereto contains or will contain any untrue statement of a material fact or omits or will omit to state a material fact required to be stated herein or therein or necessary to make any statement herein or therein not materially misleading.

Completeness of Disclosure. No representation or warranty by Pubco Priveco in this Agreement nor any certificate, schedule, statement, document or instrument furnished or to be furnished to Priveco Pubco pursuant hereto contains or will contain any untrue statement of a material fact or omits or will omit to state a material fact required to be stated herein or therein or necessary to make any statement herein or therein not materially misleading.

Completeness of Disclosure. No representation or warranty by Pubco Priveco in this Agreement nor any certificate, schedule, statement, document or instrument furnished or to be furnished to Priveco Pubco pursuant hereto contains or will contain any untrue statement of a material fact or omits or will omit to state a material fact required to be stated herein or therein or necessary to make any statement herein or therein not materially misleading. Notwithstanding section 10.1 hereof, the representations and warranties contained in this Section 3 shall survive the Closing indefinitely.

Notwithstanding section 10.1 hereof, the representations and warranties contained in this section shall survive Closing indefinitely.

Notwithstanding section 11.1 hereof, the representations and warranties contained in this section shall survive Closing indefinitely.

No representation or warranty by Pubco Priveco in this Agreement nor any certificate, schedule, statement, document or instrument furnished or to be furnished to Priveco Pubco pursuant hereto contains or will contain any untrue statement of a material fact or omits or will omit to state a material fact required to be stated herein or therein or necessary to make any statement herein or therein not materially misleading. No representation or warranty by Pubco Priveco or the Selling Shareholders in this Agreement nor any certificate, schedule, statement, document or instrument furnished or to be furnished to Priveco Pubco pursuant hereto contains or will contain any untrue statement of a material fact or omits or will omit to state a material fact required to be stated herein or therein or necessary to make any statement herein or therein not materially misleading.

No representation or warranty by Pubco or Merger Sub in this Agreement nor any certificate, schedule, statement, document or instrument furnished or to be furnished to Priveco pursuant hereto contains or will contain any untrue statement of a material fact or omits or will omit to state a material fact required to be stated herein or therein or necessary to make any statement herein or therein not materially misleading.

No representation or warranty by Pubco or the Pubco Subsidiary in this Agreement nor any certificate, schedule, statement, document or instrument furnished or to be furnished to Priveco or the Pubco Subsidiary pursuant hereto contains or will contain any untrue statement of a material fact or omits or will omit to state a material fact required to be stated herein or therein or necessary to make any statement herein or therein not materially misleading.

No representation or warranty by Pubco Priveco in this Agreement nor any certificate, schedule, statement, document or instrument furnished or to be furnished to Priveco Pubco pursuant hereto contains or will contain any intentionally untrue statement of a material fact or omits or will omit intentionally to state a material fact required to be stated herein or therein or necessary to make any statement herein or therein not materially misleading.

No representation or warranty by Pubco Priveco in this Agreement nor any certificate, schedule, statement, document or instrument furnished or to be furnished to Priveco Pubco pursuant hereto contains or will contain any untrue statement of a material fact or omits or will omit to state a material fact required to be stated herein or therein or necessary to make any statement herein or therein not materially misleading. Notwithstanding Section 12.1 hereof, the representations and warranties contained in this section shall survive Closing indefinitely.
