The Assets constitute fully operational cable television systems and include the assets, properties, franchises, licenses, permits, consents, certificates, authorities, operating rights, leases, easements, licenses, rights-of-way, contracts, agreements, commitments and arrangements (excluding programming and carriage agreements) necessary to operate and maintain the same as operated and maintained on the date hereof.
