Complete Separation Clause Samples
The Complete Separation clause establishes that, upon termination or expiration of an agreement, the parties are fully released from their obligations to each other, except for any responsibilities that are expressly stated to survive. In practice, this means that once the contractual relationship ends, neither party can claim further rights or duties under the agreement, unless specifically outlined otherwise, such as confidentiality or indemnification provisions that continue beyond termination. This clause ensures a clear and definitive end to the contractual relationship, preventing lingering obligations and reducing the risk of future disputes over ongoing responsibilities.
Complete Separation. Immediately after consummation of the Spin-Off and the other transactions contemplated by the Separation Agreement, except for this Agreement and the Separation Agreement, (i) the RemainCo Entities will owe no obligations or Liabilities to the SpinCo Entities and the SpinCo Entities will owe no obligations or Liabilities to the RemainCo Entities, and (ii) there will be no Contracts between any RemainCo Entity, on the one hand, and any SpinCo Entity, on the other hand.
Complete Separation. By entering into this Agreement and Release, you acknowledge and agree that your employment with the Company has been permanently and irrevocably severed. You agree that the Company shall not have any obligation at any time in the future to reemploy you, or enter into any other business arrangement of any kind with you. You further agree that if you do seek reemployment or any other business arrangement with the Company under which you would receive compensation for services performed by you, a rejection by the Company of your application or inquiry will not constitute a violation of this Agreement and Release or a violation of law in any manner whatsoever.
