COMPENSATION UPON TERMINATION WITHOUT GOOD REASON. If the Executive's employment is terminated by the Executive without Good Reason during the Employment Term, this Agreement shall terminate without further obligation to the Executive, except that the Employer shall (i) pay the Accrued Obligations to the Executive in a lump sum in cash within 30 days of the date of termination; and (ii) timely pay or provide the Other Benefits.
COMPENSATION UPON TERMINATION WITHOUT GOOD REASON. In the event this Agreement is terminated by the Consultant without Good Reason pursuant to Section 9.5(a), the Consultant shall receive, in full settlement of any and all claims which the Consultant may have against the Company: (i) such portion of his Fees to which the Consultant otherwise would have been entitled under this Agreement through the date of termination; and (ii) remuneration for any Expenses accrued but unpaid through the date of termination. The Consultant shall not be entitled to any other severance or compensation whatsoever and the Company shall have no further obligations hereunder.
