COMPENSATION - BASE COMPENSATION. The Compensation of a Participant for any Plan Year shall be the total cash remuneration paid by the Employer to the Participant for the Plan Year including the following items:
COMPENSATION - BASE COMPENSATION. During the term of this Agreement, the Company agrees to pay Executive a base salary at the rate of $300,000.00 per year from the date hereof to May 1, 2009, subject to increases at the discretion of the Compensation Committee of the Board, payable in accordance with the Company practices in effect from time to time. Executive shall be eligible for General Bonuses (as defined below) and Performance Bonuses (as defined below) as follows (collectively, "Bonuses"): General Bonuses: Executive shall be eligible for bonuses in accordance with any bonus or other incentive compensation plans adopted by the Board ("General Bonuses").
