In accordance with the provisions of the Purchase Agreement, the Company may be required under certain circumstances, to redeem in whole or in part, the remaining unpaid principal amount of this Convertible Debenture, for cash at a redemption price (the "Redemption Price") equal to the Prepayment Price on the redemption date.
