Company Stockholder. Notwithstanding anything herein to the contrary, (i) Stockholder shall not be responsible for, and its rights hereunder shall not be affected by, the performance or nonperformance by the Company of its obligations hereunder and (ii) the Company shall not be responsible for, and the Company's rights hereunder shall not be affected by, the performance or nonperformance by the Stockholder of its obligations hereunder.
