Common use of COMPANY SPECIAL PAYMENT Clause in Contracts

COMPANY SPECIAL PAYMENT. As a condition of Parent's willingness, and in order to induce Parent, to enter into this Agreement and to reimburse Parent for incurring the damages, costs and expenses related to entering into this Agreement and consummating the transactions contemplated by this Agreement, the Company will pay to Parent the sum of $6,000,000 (as such amount may be adjusted pursuant to Section 9.03(d), the "COMPANY SPECIAL PAYMENT"), if and only if a Payment Event (as hereinafter defined) shall have occurred before the Special Payment Termination Date (as hereinafter defined) determined in accordance with Section 9.03(c).
