Common use of Company Resolution Clause in Contracts

Company Resolution. Seller shall have received from Purchaser a certified copy of its company resolution approving the execution and delivery of this Agreement and the consummation of the transactions contemplated hereby, together with such other certificates of incumbency and other evidences of company authority as Seller or its counsel may reasonably request.
