Company Material. All Company materials including, but not limited to, Confidential Information, reports, documents, data, records, equipment, and other tangible property, whether or not pertaining to Confidential Information (collectively, “Company Material”), provided to Executive by the Company or produced by Executive or others in connection with Executive’s employment by the Company, will be and remain the sole property of the Company, and Executive will promptly return the same (including all extracts, copies and embodiments thereof) to the Company, as and when requested by the Company and in any event upon termination or expiration of this Agreement.
Company Material. The Company hereby grants to the University for the Term, a world-wide, royalty-free, non-exclusive right and license to access, display, and use the Company Material solely as necessary for University to obtain the benefits of Company’s services as set forth in this Agreement. The Company shall obtain any licenses or rights in all Intellectual Property Rights of third parties that are necessary to enable the University to obtain the benefits of Company’s services as set forth in this Agreement.
Company Material. If any Company Material is held by a court of competent jurisdiction to constitute an infringement or other violation of any third party’s Intellectual Property Rights, or if in the University’s reasonable opinion any of the Company Material is, or is likely to infringe or otherwise violate a third party’s Intellectual Property Rights, the Company shall at its own expense and option: (a) procure the right for the University to continue using the Company Material; (b) replace the Company Material with non-infringing equivalent material conforming to the applicable specifications required by this Agreement; or (c) modify the Company Material to make it non-infringing while conforming to the applicable specifications required by this Agreement.
Company Material. SMART (directly or through contractors) shall have the right to move its own company material on the Shared Track or the Lombard Segment, including but not limited to track material and passenger equipment in transport for use in the SMART Commuter Operations. If SMART elects to use a contractor to move such company material, NCRA shall have a right of first refusal for ten (10) days on the work at the contractor’s quoted rate; provided that such right of first refusal shall not apply to passenger equipment in transport for use in the SMART Commuter Operations.
Company Material. (i) Company shall submit to AXXX and Third Party, as applicable, for AXXX’x and Third Party’s review and approval in each instance, as applicable, prior to publication or use, any artwork, advertising, promotional materials, direct mail, press releases, newsletters or other communication or publicity to be published or distributed by Company with respect to the Program distributed to Third Party Customers, or that use any AXXX Xxxxx or Third Party Marks, as applicable, presently in existence or hereafter established (collectively, the “Company Material”).
Company Material. 8.1 COMPANY may transfer to XXXXX STATE tangible material described in Attachment A (“COMPANY Material”) to be used by XXXXX STATE in performance of the Services.
Company Material. (a) The Company owns all Intellectual Property Rights in the Company Material and the Company grants the Hotel Manager a limited, personal, non-exclusive, royalty free, license to use, reproduce, modify, or adapt that portion of the Company Material which is required to enable the Hotel Manager to provide the Services and perform its obligations under this Agreement.
Company Material. Upon termination of this Employment Agreement for any reason, the Employee shall return to the Company everything produced in the course of the work for the Company, everything which was given to the Employee throughout the course of this Employment and everything which fell into the Employee's possession. The obligation to surrender includes in particular but is not limited to keys, mobile phones, laptops, badges as well as data carriers and records of any kind, including copies. Any potential retention right of the Employee is explicitly waived.
Company Material. 8.1 COMPANY may transfer to PSU tangible material described in Attachment A (“COMPANY Material”) to be used by PSU in performance of the Services.
Company Material. Employee further agrees that all documents, ---------------- memoranda, disks, files, notes, records or other documents, whether in electronic form or hard copy (collectively, the "Material") compiled by Employee in the course of employment with the Company or made available to Employee during employment with the Company shall be the property of the Company and shall be delivered to the Company on the termination of Employee's employment with the Company or at any other time upon request. Except in connection with Employee's employment with the Company, Employee agrees not to make or retain copies or excerpts of the Material.
