Common use of Company Indemnity Clause in Contracts

Company Indemnity. The Company agrees to indemnify and hold harmless the Purchasers (and their respective directors, officers, managers, partners, members, shareholders, affiliates, agents, successors and assigns) from and against any and all losses, liabilities, deficiencies, costs, damages and expenses (including, without limitation, reasonable attorneys’ fees, charges and disbursements) incurred by the Purchasers as a result of any inaccuracy in or breach of the representations, warranties or covenants made by the Company herein.

Company Indemnity. The Company agrees to indemnify and hold harmless the Purchasers (and their respective directors, officers, managers, partners, members, shareholders, affiliates, agents, successors and assigns) from and against any and all losses, liabilities, deficiencies, costs, damages and expenses (including, without limitation, reasonable attorneys’ fees, charges and disbursements) incurred by the Purchasers as a result of any inaccuracy in or breach of the representations, warranties or covenants made by the Company herein.

Company Indemnity. The Company agrees to indemnify and hold harmless the Purchasers Purchaser (and their respective its directors, officers, managers, partners, members, shareholders, affiliates, agents, successors and assigns) from and against any and all losses, liabilities, deficiencies, costs, damages and expenses (including, without limitation, reasonable attorneys’ fees, charges and disbursements) incurred by the Purchasers Purchaser as a result of any inaccuracy in or breach of the representations, warranties or covenants made by the Company herein, and the Purchaser agrees to indemnify and hold harmless the Company to the same extent as a result of any inaccuracy in or breach of the representations, warranties or covenants made by the Purchaser herein.

The Company agrees unconditionally to indemnify indemnify, defend and hold harmless the Purchasers (and their respective directorsSeller, officers, managers, partners, members, shareholders, affiliates, agents, successors and assigns) from and against any and all losses, liabilitiesdamages, claims, demands, deficiencies, costs, damages and expenses (including, without limitation, including reasonable attorneys’ ' fees) of every kind, charges and disbursements) incurred by the Purchasers nature or description which arise out of or result from or as a result consequence of any inaccuracy in or breach of the representationsany representation, warranties warranty or covenants undertaking made by the Company hereinin this letter agreement or in any other document, exhibit, certificate or instrument delivered in connection herewith.
