Common use of Company Control Clause in Contracts

Company Control. The Company may decline to file a Registration Statement after giving notice to Eligible Holders pursuant to Section 3(a) above, or withdraw a Registration Statement after filing and after such notice, but prior to the effectiveness thereof; provided that the Company shall promptly notify each Eligible Holder in writing of any such action and provided further that the Company shall bear all expenses incurred by each Eligible Holder or otherwise in connection with such withdrawn Registration Statement.

Company Control. The Company may decline to file a Registration Statement set forth in Section 3 hereof upon the good faith determination of the Company's Board of Directors after giving notice to Eligible Holders of Registrable Securities pursuant to Section 3(a) above, or withdraw a Registration Statement after filing and after such notice, but prior to the effectiveness thereof; provided provided, that the Company shall promptly notify each Eligible Holder of Registrable Securities in writing of any such action and provided further that the Company shall bear all expenses Registration Expenses incurred by each Eligible Holder or otherwise in connection with such withdrawn Registration StatementHolder.
