Communications Regarding Agreement. Executive shall not initiate communications regarding this Agreement, except for communications with his attorneys, financial advisors, family, or friends, or except as otherwise required by law. If asked by any person other than the foregoing, Executive shall state only that he is stepping down as Chairman of the Board and will act as a consultant to the Company. The provisions of any press release by the Company relating to Executive's resignation shall be subject to the prior approval of Executive, which approval will not be withheld unreasonably and shall be given no later than 24 hours after a draft of such press release is provided to Executive.

If asked by any person other than the foregoing, Executive shall state only that she is resigning as Chief Financial Officer to pursue other opportunities.

Communications Regarding Agreement. Unless required by applicable law or regulation, the Company will not issue a press release mentioning this Agreement, any other Transaction Document or the transactions contemplated hereby or thereby without the prior approval of the Collateral Agent. Prior to Closing, the Company will keep the terms of the transactions contemplated by the Transaction Documents strictly confidential and will not distribute the terms of the transactions contemplated by the Transaction Documents to or discuss such terms with anyone, or distribute copies of any of the Transaction Documents, without the prior approval of the Collateral Agent.

Communications Regarding Agreement. All communications regarding or arising from this Agreement shall be sent to the Agent at the address set forth below the signature line of this Agreement as the Agent's place of business and to Cardservice at the Moorpark, California address set forth above. Any notice(s) required or permitted to be given under this Agreement shall be deemed sufficiently given by facsimile transmission with the original mailed by registered or certified mail, postage prepaid, and addressed to the party to be notified at its address shown at the beginning or below the signature line of this Agreement, or at such other address as may be furnished in writing to the notifying party.
