Common Stock Request. Upon the written request (a "Request") of Vestar or its designated Permitted Transferees that the Company effect the registration under the Securities Act of all or part of the shares of Common Stock owned or to be acquired upon conversion, exercise or exchange of Common Stock Equivalents by Vestar and/or its Permitted Transferees (a "Requesting Stockholder"), the Company will use its best efforts to effect the registration under the Securities Act of such shares.
Common Stock Request. Upon the written request (a "COMMON STOCK REQUEST") of any of Vestar and its Affiliates and, if Vestar and its Affiliates shall cease to beneficially own any shares of Common Stock or if Vestar shall give its prior written consent thereto, any Permitted Transferee of any of Vestar and its Affiliates, at any time after the Closing Date (each of such Persons a "REQUESTING COMMON STOCKHOLDER"), that the Company effect the registration under the Securities Act of all or part of the shares of Common Stock owned or to be acquired upon conversion, exercise or exchange of Common Stock Equivalents by such Requesting Common Stockholder, the Company will use its best efforts to effect the registration under the Securities Act of such shares.
