Commitment to Effect. Subject to termination of this Agreement pursuant to Section 4.2 or otherwise, the Parties agree to be bound by the Plan of Arrangement and each will use all reasonable efforts and do all things reasonably required to cause the Arrangement to become effective on such date as the PHM Board may determine.
Commitment to Effect. Subject to termination of this Agreement under Article 7, the parties will each use all reasonable efforts and do all things reasonably required to cause the Plan of Arrangement to become effective as soon as possible after approval of the Arrangement by the Arris Shareholders at the Arris Meeting, or by such other date as Arris and Cielo Gold may determine, and in conjunction therewith to cause the conditions described in §6.1 to be complied with or waived, as the case may be, prior to the Effective Date.

Subject to termination of this Agreement pursuant to Article 6 hereof, the parties shall each use all reasonable efforts and do all things reasonably required to cause the Plan of Arrangement to become effective by no later than May 15, 2018, or by such other date as LITH and SpinCo may determine, and in conjunction therewith to cause the conditions described in Section 5.1 to be complied with prior to the Effective Date. Without limiting the generality of the foregoing, the parties shall proceed forthwith to apply for the Interim Order and LITH shall call the LITH Meeting and mail the Information Circular to the LITH Shareholders.

Subject to termination of this Agreement pursuant to Article 6, the parties will each use all reasonable efforts and do all things reasonably required to cause the conditions described in Section 5.1 to be complied with prior to the Effective Date. Without limiting the generality of the foregoing, the parties will proceed forthwith to apply for the Interim Order and Bearing will call the Meeting and mail the Information Circular to the Shareholders.

Subject to termination of this Agreement pursuant to Article 7 hereof, the Parties shall each use all reasonable efforts and do all things reasonably required to cause the Plan of Arrangement to become effective by no later than April 30, 2020, or by such other date as Red Lake and Spinco may determine, and in conjunction therewith to cause the conditions described in § 5.1 to be complied with prior to the Effective Date. Without limiting the generality of the foregoing, the Parties shall proceed forthwith to apply for the Interim Order and Red Lake shall call the Red Lake Meeting and mail the Information Circular to the Red Lake Shareholders.

Subject to termination of this Agreement pursuant to Article 6, the parties will each use all reasonable efforts and do all things reasonably required to cause the conditions described in Section 5.1 to be complied with prior to the Effective Date. Without limiting the generality of the foregoing, the parties will proceed forthwith to apply for the Interim Order and New Pacific will call the Meeting and mail the Information Circular to the New Pacific Shareholders.
Commitment to Effect. Subject to termination of this Agreement pursuant to Article 6, the parties shall each use all reasonable efforts and do all things reasonably required to cause the Plan of Arrangement to become effective by no later than December 31, 2018, or by such other date as SX and Spinco may determine, and in conjunction therewith to cause the conditions described in §5.1 to be complied with prior to the Effective Date.

Subject to termination of this Agreement pursuant to Article 6 hereof, the parties shall each use all commercially reasonable efforts and do all things reasonably required to cause the Plan of Arrangement to become effective by no later than June 30, 2017, or by such other date as KBY and the KBY Subsidiaries may determine, and in conjunction therewith to cause the conditions described in section 5.1 to be complied with prior to the Effective Date. Without limiting the generality of the foregoing, the parties shall proceed forthwith to apply for the Interim Order and KBY shall call the Meeting and mail the Information Circular to the KBY Shareholders.

Subject to termination of this Agreement pursuant to Article 6 hereof, the parties shall each use all reasonable efforts and do all things reasonably required to cause the Plan of Arrangement to become effective by no later than April 15th, 2018, or by such other date as Eagle Plains and Taiga may determine, and in conjunction therewith to cause the conditions described in §5.1 to be complied with prior to the Effective Date. Without limiting the generality of the foregoing, the parties shall proceed forthwith to apply for the Interim Order and, upon obtainment thereof, Eagle Plains shall call the Eagle Plains Meeting and mail the Information Circular to the Eagle Plains Shareholders.

Subject to termination of this Agreement pursuant to Article 6 hereof, the Parties shall each use all commercially reasonable efforts and do all things reasonably required to cause the Plan of Arrangement to become effective as soon as possible, and in conjunction therewith to cause the conditions described in Section 5.1 to be complied with prior to the Effective Date. Without limiting the generality of the foregoing, the Parties shall proceed forthwith to apply for the Interim Order and BriaCell shall call the BriaCell Meeting and mail the Information Circular to the BriaCell Shareholders.
