The 'Commitment party' clause defines which party or parties are obligated to fulfill specific commitments under an agreement. Typically, this clause identifies the individuals or entities responsible for providing funds, services, or other deliverables, and may outline the scope and duration of their obligations. By clearly designating the commitment party, the clause ensures accountability and helps prevent disputes over who is responsible for meeting contractual obligations.
Commitment party. (i) If the delivery does not occur, it refers to the single name and joint name of the Target Company and the Transferor, and (ii) If the delivery occurs, it refers to the Transferor (for the avoidance of doubt, the Target Company will not be the commitment party from the beginning when the delivery occurs).
Commitment party. Current Borrower and Motor each hereby agree that they will not disclose the contents of this Commitment Letter to any third party (including, without limitation, any financial institution or intermediary) without the other parties’ prior written consent other than (a) to each such person’s respective shareholders, those individuals who are such person’s Representatives (as defined below) in connection with the transactions contemplated in the Merger Agreement and the Credit Facility, (b) in any prospectus, other offering memorandum, proxy or other circular relating to the Merger and the transactions contemplated thereby, (c) to Silicon Valley Bank or any other potential provider of an Approved AR Loan Facility, (d) to protect and enforce such person’s rights with respect to this Commitment Letter, the Credit Facility and/or the transactions contemplated in the Merger Agreement, (e) to the extent such information becomes publicly available other than by reason of a breach of the confidentiality obligations set forth in this paragraph or was available to such person on a non-confidential basis prior to its disclosure by such person and (f) to the extent compelled in a judicial or administrative proceeding or as otherwise required by law or legal process (in which case such disclosing party agrees to inform the other parties prior to any such disclosure or such later time as may be required by law). Each of the parties hereto agrees to inform all such persons who receive information concerning the other parties or this Commitment Letter that such information is confidential and may not be used for any purpose other than in connection with the transactions contemplated in the Merger Agreement and the Credit Facility and may not be disclosed to any other person. As used herein, “Representatives” of a person or entity means such person or entity’s affiliates or the respective employees, directors, officers, attorneys, agents, independent accounts, financial advisors and other experts of such person or entity or its affiliates (but not commercial lenders).
