Commission Procedure. 1.1 Whenever Network Rail wishes the Contractor to provide any Works it shall commence the Commission Procedure for those Works in accordance with the procedure detailed in Schedule 1 of this Framework Agreement (“Commission Procedure”). 1.2 A contract shall only be formed between Network Rail and the Contractor in respect of the Works when a Commission Contract has been entered into by the parties at the conclusion of the Commission Procedure ("Commission Contract"). 1.3 Each Commission Contract shall incorporate: 1.3.1 the terms and conditions identified by Network Rail as part of the Commission Procedure which are set out in Schedule 3 of this Framework Agreement; and 1.3.2 prices established in accordance with the rates and prices set out in Schedule 2 of this Framework Agreement. 1.4 This Framework Agreement shall not oblige Network Rail to enter into a Commission Contract with the Contractor or commence a Commission Procedure and Network Rail reserves the right to negotiate or award a contract for the same or similar works to any other contractor in any geographical area. 1.5 The parties shall not be liable for any statement, representation, promise, inducement or understanding made in respect of a proposed Commission Contract unless expressly contained or incorporated in the Commission Contract.
Commission Procedure. 1.1 Whenever Network Rail wishes the Supplier to provide any of the Services it shall commence the commission procedure for those services in accordance with the procedure detailed in Schedule 1 of this Framework Agreement (“Commission Procedure”). 1.2 A contract shall only be formed between Network Rail and the Supplier in respect of the provision of any of the Services when a commission contract has been entered into by the Parties at the conclusion of the Commission Procedure ("Commission Contract"). 1.3 Each Commission Contract shall incorporate: 1.3.1 terms and conditions as set out in Schedule 3 of this Framework Agreement; and 1.3.2 relevant Services selected by Network Rail in accordance with the Commission Procedure from the indicative services set out in Schedule 2 of this Framework Agreement; and 1.3.3 prices established in accordance with the rates and prices set out in Schedule 1 of this Framework Agreement as may be amended between the Parties to suit the particular Services being provided for each Commission. 1.4 This Framework Agreement shall not oblige Network Rail to enter into a Commission Contract with the Supplier or commence a Commission Procedure and Network Rail reserves the right to negotiate or award a contract for the same or similar services to any other supplier in any geographical area. 1.5 The Parties shall not be liable for any statement, representation, promise, inducement or understanding made in respect of a proposed Commission Contract unless expressly contained or incorporated in the Commission Contract.
Commission Procedure. 2.3.4.1 The Commission to inform itself in respect of a dispute before it will do so in such manner as it considers appropriate. 2.3.4.2 The parties will do all things necessary to assist the Commission in the conduct of matters referred to it, including: i) Attending proceedings as required; ii) Accepting any process and procedure for the conduct of proceedings considered appropriate by the Commission;‌ iii) Accepting that such process and procedure may involve the taking of evidence on oath, or affirmation. However, the Commission will not be bound by any rules of evidence; iv) Producing relevant documents (subject to exclusions for legal professional privilege, commercial-in-confidence documents, or other reason accepted as appropriate by the Commission); and v) Making persons available whose presence the Commission regards would assist help in the resolution of the matter. 2.3.4.3 In any process to resolve disputes, the parties expect the Commission to: i) Recognise that the Company has the responsibility to manage and operate the Refinery in a safe, reliable and profitable manner; ii) To the extent permitted by law, have regard to the principles and objectives set out in clause 1.6
