Common use of Commission Determination Clause in Contracts

Commission Determination. a. You are only eligible to earn commissions on Qualifying Purchases occurring during the Term subject to the terms of this Agreement that are: (i) made via the intentional click by a Customer of a Qualifying Link during an active Session that can be tracked and reported on through the use of the Program Manager's tracking technology and/or methodology; (ii) actually shipped by a Best Buy Property to a Canadian shipping address and billed to a Canadian billing address; or in the case of services, if included as an Eligible Product, are performed by Geek Squad in Canada; and (iii) for which Best Buy has received full payment that is not subject to bad debt or other chargebacks. For the avoidance of doubt, Qualifying Purchases shall not include, without limitation, any orders made by a Customer (i) in-store; or (ii) through Best Buy’s Quick & Easy Store Pickup process. We will not owe you any commissions for orders that are cancelled or returned, and we may deduct and exclude these returns and cancellations from commissions calculations on an ongoing basis, at least monthly. b. Best Buy may in its sole discretion modify the list of Eligible Products, Product Categories (including associated commission percentage rates), and the number of permitted Return Days at any time. The changes will be effective as of the date they are posted within the Dashboard. c. We do not guarantee a minimum or maximum monthly commission payment amount. We will calculate commission payment(s) based on (i) Monthly Net Sales; multiplied by (ii) the commission percentage rate for each applicable Product Category as set forth in the Dashboard. d. All determinations of Qualifying Purchases and whether a commission payment is payable will be made by Best Buy in consultation with the Program Manager and will be final and binding. e. In the event you fail to abide by the terms set forth in this Agreement governing the use of Links and Licensed Materials (including but not limited to the posting of certain information to the disadvantage of Best Buy on your Properties), we may reduce unpaid commissions otherwise payable under this section as follows: (i) Best Buy is not required to pay any commissions on sales of any product or service where the sale was completed through an error or anomaly on a Best Buy Property related to any information posted on the website or property associated with the Qualifying Link. (ii) Commissions otherwise payable to a Publisher for any month will be forfeited where information prohibited by this Agreement is posted to the website or property associated with the Qualifying Link, regardless of whether any Qualifying Purchases occurred, and we may, in our sole discretion, terminate your account immediately.

Commission Determination. a. You are only eligible 4.1 Under the Affiliate Program, you will be paid a Commission Fee for each Qualified Purchase by a Referred User that you refer to earn commissions on Qualifying Purchases occurring during the Term subject to CylixApps in accordance with the terms of this Agreement Agreement. Each Referred User and each Qualified Purchase must meet the following criteria (the "Criteria"): 4.1.1 Each Referred User must be a new and unique visitor to CylixApps. 4.1.2 Each affiliate must register by completing and submitting the Registration Form using a valid and unique account and billing information. 4.1.3 Commission shall not be paid to the Affiliate for a Referred User that are: (i) made via the intentional click by a Customer of a Qualifying Link during an active Session that can be was already tracked and reported on through CylixApps's tracking system prior to visiting through the use Affiliate. 4.1.4 Each Referred User must make a Qualified Purchase, and provide a valid payment for the purchased CylixApps services. To generate a Commission Fee for You, each Referred User must be an active, Qualified User of CylixApps and must be up-to-date in all payments at the Program Manager's tracking technology and/or methodology; (ii) actually shipped by a Best Buy Property time the Commission Fees are processed, and not have been subject to a Canadian shipping address refund, credit, cancellation, suspension or chargeback (these purchases shall be deducted from the Commission Fee as further detailed in Section 4.2.1 below). 4.1.5 Each Referred User must sign up in a manner, which in Our sole judgment, definitively establishes that the Referred User was referred for the first time directly from You to CylixApps under this Agreement based on our Tracking System. 4.1.6 Each Referred User must remain in compliance with our Terms and billed to a Canadian billing address; or in the case Service, and all applicable policies and guidelines of services, if included as an Eligible Product, are performed by Geek Squad in Canada; and (iii) for which Best Buy has received full payment that is not subject to bad debt or other chargebacks. For the avoidance of doubt, Qualifying Purchases shall not include, without limitation, any orders made by a Customer (i) in-store; or (ii) through Best Buy’s Quick & Easy Store Pickup process. We will not owe you any commissions for orders CylixApps that are cancelled or returned, and we may deduct and exclude these returns and cancellations from commissions calculations on an ongoing basis, applicable at least monthlythe time the Commission Fees are processed. b. Best Buy 4.1.7 Commission Fees may not be paid for the Qualified Purchase if the Referred User received a refund or credit from the Affiliate. 4.1.8 CylixApps reserves the right to withhold initial Commission Fees for Affiliates who are new to the Affiliate program, or who have commissions that are potentially fraudulent as determined by CylixApps in its sole discretion modify discretion, in order to determine the list legitimacy and cancellation rates of Eligible Products, Product Categories (including associated commission percentage rates), and Referred Users. 4.1.9 CylixApps reserves the number right to suspend the payment of permitted Return Days Commission Fees at any time. The changes will be effective as time and indefinitely if it suspects fraud or Fraudulent Traffic, improper activity, or a potential breach of any of the date they are posted within the Dashboard. c. We do not guarantee a minimum or maximum monthly commission payment amount. We will calculate commission payment(s) based on (i) Monthly Net Sales; multiplied by (ii) the commission percentage rate for each applicable Product Category as set forth in the Dashboard. d. All determinations of Qualifying Purchases and whether a commission payment is payable will be made by Best Buy in consultation with the Program Manager and will be final and binding. e. In the event you fail to abide by the terms set forth in this Agreement governing by the use Affiliate or a Referred User(s). CylixApps reserves the right to deduct from Affiliate's current and future Commission Fees any and all Commission Fees corresponding to any fraudulent, questionable, and cancelled CylixApps purchases. Where no subsequent Commission Fee is due and owing, CylixApps will send the Affiliate a bill for the balance of Links and Licensed Materials (including but not limited such Commission set off upon termination of the Affiliate Program or termination of the Referred User. 4.1.10 CylixApps, in its sole discretion, reserves the right to the posting of certain information withhold indefinitely any Commission Fee, and/or to the disadvantage of Best Buy on your Properties)reverse, we may reduce unpaid commissions otherwise payable under deny or reject any Commission Fee, and/or to deny or reject any Affiliate account, and/or terminate this section as followsAgreement immediately, for: (i) Best Buy is Any account/sale which has not required to pay any commissions on sales been in an approved status in good standing as an account of any product or service where the sale was completed through an error or anomaly on CylixApps for a Best Buy Property related to any information posted on the website or property associated with the Qualifying Linkperiod of at least thirty (30) days. (ii) Commissions otherwise payable All commissions generated for accounts that may be subject to Fraudulent Traffic. (iii) Any orders deemed to be fraudulent or for which We see a Publisher pattern of potentially fraudulent activity, including, without limitation, where there are multiple accounts (whether CylixApps accounts or Affiliate accounts) that are being operated by the same User or person or referral of accounts which do not comply with this Agreement. (iv) Altering Our Links in any way. (v) Affiliates whom we believe may be artificially submitting Referred Users or charging double commissions, using false advertising, using marketing practices that we deem to be unethical or likely to attract fraudulent signups and/or signups with a very low likelihood of renewal. (vi) Any direct referral or traffic to CylixApps Sites from search engines, and/or the use of "CylixApps" as a key-word for any month will be forfeited where information prohibited by this Agreement is posted to the website paid ads in search engines, including, without limitations, Facebook, Google, Bing, Yahoo, etc. (vii) Any use of misleading sites, or property associated with the Qualifying Link, regardless of whether any Qualifying Purchases occurred, and we may, accounts in our sole discretion, terminate your account immediatelysocial media.

(ii) Commissions otherwise payable to a Publisher for any month will be forfeited where information prohibited by this Agreement is posted to the website or property associated with the Qualifying Link, regardless of whether any Qualifying Purchases occurred, and we may, in our sole discretion, terminate your account immediately.

Each Referred User and each Qualified Purchase must meet the following criteria (the "Criteria"): 4.1.1 Each Referred User must be a new and unique visitor to Fiverr and/or AND CO, as applicable. 4.1.2 Each affiliate must register by completing and submitting the Registration Form using a valid and unique account and billing information. 4.1.3 Commission shall not be paid to the Affiliate for a Referred User that are: (i) made via the intentional click by a Customer of a Qualifying Link during an active Session that can be was already tracked and reported on through Fiverr's tracking system prior to visiting through the use Affiliate. 4.1.4 Each Referred User must make a Qualified Purchase, and provide a valid payment for the purchased Fiverr services. To generate a Commission Fee for You, each Referred User must be an active, qualified User of Fiverr and/or AND CO and must be up-to-date in all payments at the Program Manager's tracking technology and/or methodology; (ii) actually shipped by a Best Buy Property time the Commission Fees are processed, and not have been subject to a Canadian shipping address refund, credit, cancellation, suspension or chargeback (these purchases shall be deducted from the Commission Fee as further detailed in Section 4.2.1 below). 4.1.5 Each Referred User must sign up in a manner, which in Our sole judgment, definitively establishes that the Referred User was referred for the first time directly from You to Fiverr under this Agreement based on our Tracking System. 4.1.6 Each Referred User must remain in compliance with our Terms and billed to a Canadian billing address; or in the case Service, and all applicable policies and guidelines of services, if included as an Eligible Product, are performed by Geek Squad in Canada; and (iii) for which Best Buy has received full payment that is not subject to bad debt or other chargebacks. Fiverr reserves the right to deduct from Affiliate's current and future Commission Fees any and all Commission Fees corresponding to any fraudulent, questionable, and cancelled Fiverr / And CO purchases. Where no subsequent Commission Fee is due and owing, Fiverr will send Affiliate a ▇▇▇▇ for the balance of Links and Licensed Materials (including but not limited such Commission set off upon termination of the Affiliate Program or termination of the Referred User. 4.1.10 Fiverr, in its sole discretion, reserves the right to the posting of certain information withhold indefinitely any Commission Fee, and/or to the disadvantage of Best Buy on your Properties)reverse, we may reduce unpaid commissions otherwise payable under deny or reject any Commission Fee, and/or to deny or reject any Affiliate account, and/or terminate this section as followsAgreement immediately, for: (i) Best Buy is Any account/sale which has not required to pay any commissions on sales been in an approved status in good standing as an account of any product Fiverr or service where the sale was completed through an error or anomaly on And Co (as applicable) for a Best Buy Property related to any information posted on the website or property associated with the Qualifying Link. For the avoidance of doubt, Qualifying Purchases shall not include, without limitation, any orders made by a Customer (i) in-store; or (ii) through Best Buy’s Quick & Easy Store Pickup process. We will not owe you any commissions for orders that are cancelled or returned, and we may deduct and exclude these returns and cancellations from commissions calculations on an ongoing basis, at least monthlyinformation. b. Best Buy Each Referred Customer must make a Qualified Purchase, and provide a valid payment for Our Products and Services. To generate a Commission Fee for You, each Referred Customer must be an active, qualified customer of Benzinga and must be up-to-date in all payments at the time the Commission Fees are processed and not have been subject to a refund, credit, cancellation, suspension or chargeback. c. Each Referred Customer must sign up in a manner, which in Our sole judgment, definitively establishes that the Referred Customer was referred directly from You to Us under this Agreement. d. Each Referred Customer must remain in compliance with Our Terms of Service, Acceptable Use Policy and other policies that are active at the time the Commission Fees are processed. e. Commission Fees may not be paid for the Qualified Purchase if the Referred Customer has been offered or received coupons, refunds, credits or discounts on Our Products or Services. f. If a Referred Customer has received a popup from Us with a discounted offer for Our Products and Services, while navigating away from Our site during their visit, then We will NOT pay Commissions on any resulting purchase. g. Benzinga reserves the right to withhold initial Commissions Fees for You until We have determined the legitimacy of Your Referred Customers and evaluated the cancellation rates of Your Referred Customers. h. We reserve the right to suspend payment of Your Commission Fees at any time and indefinitely, if We suspect fraud or other improper activity or a potential breach of any of the terms in this Agreement by You or a Referred Customer. We reserve the right to deduct from Your current and future Commission Fees any and all Commission Fees corresponding to any fraudulent, questionable and cancelled Benzinga purchases. Where no subsequent Commission Fee is due and owing, We will send You a ▇▇▇▇ for the balance of such refunded purchase upon termination of the program or termination of the Referred Customer and You will remit payment within ten (10) days of Your receipt of the same. i. Benzinga, in its sole discretion modify discretion, reserves the list right to withhold indefinitely any Commission Fee, and/or to reverse, deny or reject any Commission Fee, for: i. Any account/sale that has not been in an approved status in good standing as an account of Eligible Products, Product Categories Benzinga for a period of at least thirty (including associated commission percentage rates), and the number of permitted Return Days at any time. The changes will be effective as of the date they are posted within the Dashboard30) days. c. We do not guarantee a minimum or maximum monthly commission payment amountii. We review account information (including site content) to assess referrals. iv. Altering Our Links in any way. v. Referred Customers that have been offered or received unapproved coupons, refunds, credits or discounts from You. vi. Engaging in any “black hat” marketing techniques, artificially submitting Referred Customers, using marketing practices that We deem to be unethical or likely to attract fraudulent signups. j. We reserve the disadvantage right to immediately cancel or withhold for later review any Commission Fee based on the foregoing or that otherwise fails to meet the Criteria. It is Your responsibility to monitor the payment, denial and withholding of Best Buy on your Properties)Commission Fees. We are not obligated to actively notify You of the status of Your Commission Fees. If You have a question about a Commission Fee that has been cancelled or withheld, we then You have thirty (30) days from the day the payment was due to contact Us to discuss or reclaim the Commission Fee. Any changes to decisions about cancelled or withheld Commission Fees are strictly at Our discretion. k. Commissions for any Referred Customer who is associated with any Benzinga reseller, referral or other program may reduce unpaid be removed from Your payment. In other words, You may not receive double commissions otherwise payable under this section as follows:or compensation. (i) Best Buy is not required l. Any attempt by You to pay any commissions on sales manipulate, falsify or inflate Referred Customers, Qualifying Purchases or Commission Fees, to intentionally defraud Us or violate of any product or service where of the sale was completed through an error or anomaly on a Best Buy Property related to any information posted on the website or property associated with the Qualifying Link. (ii) Commissions otherwise payable to a Publisher for any month will be forfeited where information prohibited by terms of this Agreement is posted constitutes immediate grounds for Benzinga to the website or property associated with the Qualifying Link, regardless terminate this Agreement and will result in forfeiture of whether any Qualifying Purchases occurred, and we may, in our sole discretion, terminate your account immediatelyCommission Fees due to You.
