Commercialization Reporting Sample Clauses
The Commercialization Reporting clause requires a party, typically a licensee, to provide regular updates on the progress and results of efforts to commercialize a product or technology covered by an agreement. This often involves submitting periodic written reports detailing sales figures, marketing activities, development milestones, or other relevant metrics. By mandating these disclosures, the clause ensures transparency and accountability, enabling the other party—often the licensor—to monitor compliance with commercialization obligations and assess the effectiveness of the partnership.
Commercialization Reporting. Every year within [***] of the anniversary of the Effective Date after Regulatory Approval is granted, MirnaRx shall provide to Marina Bio written report setting out a reasonably detailed summary of efforts and progress of the Commercialization program on Licensed Product in the Field of Use since the last report, including a summary of marketing results.

The information communicated in such reports and at such meetings shall be deemed to be ProNAi’s Confidential Information.

Such disclosures will be made in a written report provided to Company at least annually for as long as Licensed CONFIDENTIAL TREATMENT HAS BEEN REQUESTED AS TO CERTAIN PORTIONS OF THIS DOCUMENT. EACH SUCH PORTION, WHICH HAS BEEN OMITTED HEREIN AND REPLACED WITH THREE ASTERISKS (***), HAS BEEN FILED SEPARATELY WITH THE SECURITIES AND EXCHANGE COMMISSION. Products are being sold in one (1) or more of the ***.
Commercialization Reporting. After the First Commercial Sale of Products by CENTREXION, its Affiliate or Sublicensee, CENTREXION shall furnish BII with Calendar Quarterly reports of (i) all of its sales of Products and (ii) a summary of its Commercialization activities performed in at least each Major Market Country under this Agreement. Each such Calendar Quarterly report shall (i) be furnished to BII within [***] after the end of the Calendar Quarter to which it relates; and (ii) state the total sales of the Products, broken down by country and by Product, during the Calendar Quarter, the Net Sales derived by CENTREXION, its Affiliates and Sublicensees from such sales, and the Royalties and milestone payments, if any, payable by CENTREXION to BII with respect to such Net Sales.

Commercialization Reporting. During the Term, with respect to any Medical Affairs and Commercialization activities conducted by or on behalf of either Party with respect to the Licensed Products under this Agreement, within [***] following the end of each [***], each Party shall prepare and provide to the other Party and the JCC (or the JSC, if the JCC is no longer meeting) a written report that summarizes the material Medical Affairs and Commercialization activities performed with respect to the Licensed Products in the Territory and the status of activities and progress with respect to the information included in each applicable Commercialization Plan, and shall identify any issues or circumstances of which it is aware that may prevent or adversely affect in a material manner its future performance of activities assigned to it under the then-current Commercialization Plans (each, a “Commercialization Report”). Solely in the event that, and for so long as, the effects of forced opt-out set forth in Section 6.7.4 (Effects of Forced Opt-Out) apply, the Commercialization Reports provided by GSK to the JSC pursuant to this Section 6.8 (Commercialization Reporting) will include GSK’s [***] ITEOS’s JSC representatives may review, but will have no right to comment on or approve. Each Party will respond to the reasonable questions or requests of the other Party’s JCC representatives (or JSC representatives, if the JCC is no longer meeting), as applicable, for additional information relating to such Party’s Medical Affairs or Commercialization activities under this Agreement in a timely manner.
