Common use of Combination Settlement Clause in Contracts

Combination Settlement. If Combination Settlement applies, JPMorgan will deliver to Counterparty, on the relevant Settlement Date, an amount of cash equal to such Cash Amount as defined in “Combination Amount” below and a number of Shares, if any, equal to such Share Amount as defined in “Combination Amount” below in respect of any Exercisable Option exercised or deemed exercised hereunder. JPMorgan will deliver cash in lieu of any fractional Shares with respect to any Share Amount valued at the Relevant Price for the last Valid Day of the relevant Settlement Averaging Period.
