Colocation Services. 3.1 Customer may, pursuant to and as described in a particular Sales Order Form, desire to sublease from Internap certain space (the “Space”) to locate certain equipment (the “Equipment”). 3.2 Customer shall use the Space solely for the location and operation of the Equipment. Customer shall not connect or interconnect the Equipment with any other equipment or services of any third party without Internap’s prior written consent. Except as set forth in the applicable SLA, the Space is accepted “AS IS” by Customer and Internap makes no representation or warranty as to the fitness of the Space for Customer’s intended use. Subject to Customer’s compliance with all standard and reasonable applicable clearance and authorization procedures, access to the Space shall be available twenty-four hours per day, seven days per week, but shall be limited to those employees of Customer identified to and approved by Internap in writing. If any employee of Customer causes any damage or threat of damage to any equipment, individual or the Space in Internap’s sole discretion, Internap may rescind such employee’s right to access in the Space. Internap shall have the right to access the Space at any time for any purpose, but shall not, except upon Customer’s request, have the right to use or access Customer-provided equipment. Internap shall have the authority (without subjecting Internap to any liability related thereto) to suspend Customer’s operations in and around the Space if, in Internap’s sole discretion, there arises any hazardous condition, unsafe practice or emergency situation. Internap may, upon reasonable notice, require Customer to relocate the Equipment to another space, provided, however, that such other space shall afford reasonably comparable access, environmental conditions and facilities. All reasonable costs of relocating the Equipment in the above circumstance shall be born by Internap. 3.3 Neither Customer nor its agents or contractors shall make any alterations or improvements to the Space prior to submitting all plans and specifications for such improvements to Internap and receiving Internap’s prior written consent. All fixtures, alterations, improvements and/or appurtenances attached to or built into, on or about the Space shall be and remain part of the Space and shall not be removed by Customer (unless otherwise directed by Internap). Colocation Services. Colocation services for web sites, Internet-based applications, including facilities, “ping, power and pipe” and other customary services.

Colocation Services. This Agreement is not intended for colocation services. Notwithstanding anything to the contrary in this Agreement, if colocation services are covered under this Agreement, Cox reserves the right, in its sole discretion, to terminate this Agreement (or any portion thereof) upon five (5) days’ written notice to Customer.

Colocation Services. (a) During the Initial term, if BMI is ------------------- interested in a Potential Colocation Site, Vendor may, upon written notice thereof to BMI, offer the performance of the Colocation Acquisition Services listed in Annex H with respect to such Potential Colocation Site, on BTS Sites; provided, that Vendor acknowledges that at any time during the Term, BMI shall -------- have the right to engage any Person other than Vendor to perform such Colocation Acquisition Services. If the terms, conditions and fees in connection with such Colocation Acquisition Services are acceptable to BMI, BMI may engage Vendor to perform such Colocation Acquisition Services upon written notice to Vendor within five (5) Business Days after receipt by BMI of the offer from Vendor. If BMI elects to engage Vendor to perform such Colocation Acquisition Services pursuant to this Section 9.02(b), such Colocation Acquisition Services shall be performed in compliance with the requirements of this Agreement, including, without limitation, compliance with quality standards, Governmental Requirements, Permits and Environmental Laws, in each case as applicable to such Colocation Acquisition Services. Colocation Services. Internet Bandwidth Availability. Company will use commercially reasonable and good faith efforts to ensure that the entire quantity of Client's purchased Internet bandwidth will be available 100% of the time (except as part of Scheduled Downtime) on Client's access port (which is the port on the Company access router or switch within the Company facility upon which the Client's local circuit terminates), the Company designated routers, and the links between these routers. a) Measurement - Unavailability is deemed to have commenced upon initial report to Company by Client and an incident ticket is generated by Company and ending when availability has been restored Cross Connections Availability. Company will use commercially reasonable and good faith efforts to ensure that the entire quantity of Client's purchased Cross Connections that will be available 100% of the time. a) Measurement - Unavailability is deemed to have commenced upon initial report to Company by Client and an incident ticket is generated by Company and ending when availability has been restored Power Availability. Company will use commercially reasonable and good faith efforts to ensure that the entire quantity of Client's purchased electrical power will be delivered 100% of the time. This service level commitment requires that Client is actively utilizing the 2N configuration (primary AND secondary outlets) offered by Company. For example, if primary power is available and secondary power is not available, this is considered 100% available.

Colocation Services. The following terms pertain specifically to Colocation Services supplied by Rogers to you. Rogers owns and operates sixteen (16) multi-tenant data centres across Canada (see Diagram 1 below) in which Rogers Colocation Services are provided. These data centres are connected by Rogers’ wholly owned nationwide 25,000-kilometre fibre optic network with connectivity to key network access points in the U.S. and overseas. Over eighty percent (80%) of all Canadian businesses are within 200 kilometres of a Rogers data centre. Rogers Colocation Services provide you with a data centre environment equipped to handle the increased processing power, virtualization and low-latency requirements of the rapidly challenging business IT environment. Rogers Colocation Services have the following features:

Colocation Services. Clients utilizing the colocation services of the Company acknowledge and agree to request in writing for any form of power, data or information interconnection, public utility service, cross-connection or facility connections from Company for review prior to the provisioning of said connections or interconnections at Company colocation facilities. All power, data or information interconnections shall be installed and placed in accordance with industry standards and local building codes by approved service personnel; shall be installed and maintained neatly for an organized appearance; are subject to final inspection by Company; subject to removal at Client’s expense for non-compliant, unapproved or incorrect installation. All colocation facility power and information interconnections shall be introduced to and established at the identified Company demarcation points within the colocation facility for further distribution within the colocation facility. Interconnections, cross-connections or facility-connections of any type between Company colocated Clients, colocation facility or utility providers are subject to review, approval and interconnection fees if applicable. Solicitation of Clients within Company colocation facility or any actions on Clients behalf that affect the revenue generation of the Company by Client is strictly prohibited and shall result in agreement acceleration and termination. All Client equipment and or fixtures are subject to inspection, review and approval before being presented at Company colocation facilities. Client acknowledges and agrees that all insurance coverage for Client equipment and services shall be provided by Client. Client agrees to abide by the Colocation facility acceptable use policy.

Colocation Services. 3.2.1. Colocation Services means the provision of area and/or space including but not limited to any cabinets, cages, suites or rooms as well as the associated power supply, heating, ventilation, air conditioning, physical security and Remote Hands services made available to Vocall. 3.2.2. Vocall is responsible for all internal rack switching. 3.2.3. Vocall shall not allow any third party, including but not limited to, vendor support engineers, to work on the Vocall Equipment located at the Provider Facilities unless accompanied by the duly authorised Vocall representative. 3.2.4. The Provider shall notify Vocall in writing before execution of any work by it or its authorised representatives that may have an impact on the provision of the Services. 3.2.5. Vocall shall be responsible for the insurance of all Vocall Equipment located at the Provider Facilities. 3.2.6. Vocall permits the Provider to physically access the rack access to conduct random hardware compliance audits to ensure that the Vocall Equipment does not pose security risks or fire risks.
