Colocation Services. The contractor undertakes to ensure the availability of cogeneration services in the form of electricity supplied to the output port of the customer's working power supply distribution unit ("Power Distribution Unit"). It includes uninterrupted system operation, power and distribution unit and cabling, but does not include power to the Customer's servers. Downtime for the Colocation Service begins when a particular server is down due to a power outage. Such availability is calculated on a monthly basis beginning with the first full calendar month of service. If the Contractor fails to fulfill its obligations under this section, and such failure materially adversely affects the performance of the Customer's servers, the Customer shall be entitled to a refund in accordance with the terms set forth below ("Refund"). Colocation Services. 3.1 Customer may, pursuant to and as described in a particular Sales Order Form, desire to sublease from Internap certain space (the “Space”) to locate certain equipment (the “Equipment”). 3.2 Customer shall use the Space solely for the location and operation of the Equipment. Customer shall not connect or interconnect the Equipment with any other equipment or services of any third party without Internap’s prior written consent. Except as set forth in the applicable SLA, the Space is accepted “AS IS” by Customer and Internap makes no representation or warranty as to the fitness of the Space for Customer’s intended use. Subject to Customer’s compliance with all standard and reasonable applicable clearance and authorization procedures, access to the Space shall be available twenty-four hours per day, seven days per week, but shall be limited to those employees of Customer identified to and approved by Internap in writing. If any employee of Customer causes any damage or threat of damage to any equipment, individual or the Space in Internap’s sole discretion, Internap may rescind such employee’s right to access in the Space. Internap shall have the right to access the Space at any time for any purpose, but shall not, except upon Customer’s request, have the right to use or access Customer-provided equipment. Internap shall have the authority (without subjecting Internap to any liability related thereto) to suspend Customer’s operations in and around the Space if, in Internap’s sole discretion, there arises any hazardous condition, unsafe practice or emergency situation. Internap may, upon reasonable notice, require Customer to relocate the Equipment to another space, provided, however, that such other space shall afford reasonably comparable access, environmental conditions and facilities. All reasonable costs of relocating the Equipment in the above circumstance shall be born by Internap. 3.3 Neither Customer nor its agents or contractors shall make any alterations or improvements to the Space prior to submitting all plans and specifications for such improvements to Internap and receiving Internap’s prior written consent. All fixtures, alterations, improvements and/or appurtenances attached to or built into, on or about the Space shall be and remain part of the Space and shall not be removed by Customer (unless otherwise directed by Internap). Colocation Services i. If you purchase Colocation Services from us, we grant you a license to occupy the space defined by our best effort of efficient allocation. The Space is located in a data center leased by us (Data Center). You are only granted a license to occupy the Space. You will have no ownership rights in the Space or Data Center. ii. The license set out above gives you the right to colocate hardware, software and other equipment owned, licensed or leased by you (Your Equipment), or your authorized designees, to receive Colocation Services provided by us, and provide your own services, in the Space. You may occupy the Space and place Your Equipment in it, at your own expense. iii. We agree to perform such environmental systems and power plant maintenance and janitorial and other services as are reasonably required to maintain the Space and Data Center in a manner in which a reasonable user of colocation services would expect to find them. Colocation Services. Clients utilizing the colocation services of the Company acknowledge and agree to request in writing for any form of power, data or information interconnection, public utility service, cross-connection or facility connections from Company for review prior to the provisioning of said connections or interconnections at Company colocation facilities. All power, data or information interconnections shall be installed and placed in accordance with industry standards and local building codes by approved service personnel; shall be installed and maintained neatly for an organized appearance; are subject to final inspection by Company; subject to removal at Client’s expense for non-compliant, unapproved or incorrect installation. All colocation facility power and information interconnections shall be introduced to and established at the identified Company demarcation points within the colocation facility for further distribution within the colocation facility. Interconnections, cross-connections or facility-connections of any type between Company colocated Clients, colocation facility or utility providers are subject to review, approval and interconnection fees if applicable. Solicitation of Clients within Company colocation facility or any actions on Clients behalf that affect the revenue generation of the Company by Client is strictly prohibited and shall result in agreement acceleration and termination. All Client equipment and or fixtures are subject to inspection, review and approval before being presented at Company colocation facilities. Client acknowledges and agrees that all insurance coverage for Client equipment and services shall be provided by Client. Client agrees to abide by the Colocation facility acceptable use policy.
Colocation Services. Colocation Services consist of: (i) Data Center Licensor granting Customer a nonexclusive right to install, operate and maintain Customer’s equipment in a space within the Data Center designated by Data Center Licensor for Customer’s use, as more particularly described on a SOF; and (ii) the provision of power and other services to such colocation space, as more particularly described on a SOF. Customer acknowledges that the Data Center is a shared space and that such shared space, other than Customer’s designated space, is not secure from others with authorized access to the Data Center. Customer will use Customer’s colocation space in a manner that will not disturb or interfere with the occupancy or use of any portion of the Data Center other than Customer’s space. Customer will not use any colocation space or the Data Center as a business location or work site by, among other things, housing personnel or receiving mail. Customer is responsible for ensuring that the manufacturer’s rated amperage for all equipment on any given electrical circuit does not exceed the amperage size of that circuit, and that the total running amperage per circuit, as measured by Data Center Licensor, does not exceed eighty percent (80%) of the amperage size for that circuit. Customer shall connect its equipment to any redundant power circuit Services ordered by Customer in a redundant manner and Customer’s electrical consumption for any pair of redundant power circuits, as determined by Data Center Licensor, shall at no time collectively exceed the capacity of one of such circuits in the redundant pair. If Customer violates this obligation, Customer shall not have any right to make any claim against Data Center Licensor for any credits under the SLA. Further, upon five (5) days' written notice, Data Center Licensor may, in addition to all other remedies herein, invoice Customer for secondary circuits as primary circuits for the remainder of the SOF Term for the Services at issue. Customer shall have no right or ability to provide its own power or power distribution other than as provided by Data Center Licensor to the space, as set forth in the applicable SOF. Unless Customer is in default of this MSA, Data Center Licensor will provide Customer with 24x7 key card access to the Data Center. Key cards will be issued in accordance with Data Center Licensor’s policies and procedures in effect from time to time, at Customer’s cost.
Colocation Services. The monthly recurring fee for the Colocation Services is specified in the CSA. The Colocation Services include the following: 1.1 Installation in a cabinet predetermined for your configuration; 1.2 Space in the cabinet; 1.3 Ventilation and power at the standard voltage supplied for all customers at the data center; 1.4 A single connection to the network together with a single public IP address which utilizes Network Address Translation on the private side of the required rack-mountable firewall; 1.5 Power cycling upon your request; provided that the power switch is external and physically accessible, does not require additional attachments, and does not require unlocking physical or logical security mechanisms; 1.6 Provided that a replacement device (“Spare”) has been delivered in accordance with Section 4 below, at your request, replacement of a failed Colocated Device and shipment to you.
