Collected Funds. No Subscription Payment shall be disbursed pursuant to Section 3 until the Escrow Agent receives such Subscription Payment in immediately available funds. If, upon presentment for payment, any payment instrument is dishonored, the Escrow Agent shall immediately notify the Company of such dishonor and return such payment instrument to the Company.
