Common use of Collaborative agreement Clause in Contracts

Collaborative agreement. The customer identifies the gene to be targeted. MutaMouse will assess gene structure, alternative transcripts and functional domains, and will design a KO strategy. The customer will be consulted with on the strategy, and will have the final decision. MutaMouse will then design and test CrispR for this site. If the site proves unsuitable, MutaMouse will design an alternative strategy in consultation with the customer and repeat. When functional CrispR are identified MutaMouse will run zygote injection. Consultation is no extra price. MutaMouse should be listed in the acknowledgement of resulting publications, and ▇▇▇▇▇ ▇▇▇▇▇▇▇▇▇ and ▇▇▇▇▇▇ ▇▇▇▇▇▇ should be listed as middle authors on the first publication. Expected Date of Delivery of the mouse production: Within 3-9 months. (The Date of Delivery may be adversely affected by a number of issues such as high number of requests, technical issues, lack of supplies, etc. Therefore, the date of delivery is non-binding, but the client will be informed in advance such a case). I, the undersigned, agree to and have read the following items of information: The client agrees with the charges listed for this service (see addendum A to this service agreement form). The client agrees to pay in advance upon signature of this registration form. Final invoicing will be done upon finalization of the services. Invoices are payable within 30 days upon receipt of the invoice from KU LEUVEN or VIB. The agreement becomes active following payment. By signing the present service agreement form, the client agrees to be bound by the terms and conditions of KU Leuven or VIB, attached hereto in Addendum B. MutaMouse cannot be held responsible for problems that are outside of the control of the experimentator and may influence the experiment such as, but not exclusively, toxicity of plasmid elements to bacteria, incorrect provided plasmid maps, gene locus accessibility for gene targeting, etc. In the case that no working crRNA can be found, the client will receive a report on the tested crRNA (>10) and a 50% refund on the KO full-service fee. Full services comprise MutaMouse internal services only. They exclude services outside MutaMouse such as DNA synthesis, project-specific plasmid orders, oligonucleotide synthesis and sequencing services. Pronuclear/Cytoplasmic injection price is calculated per session, all zygotes obtained from 5 superovulated C57Bl6J donor mice will be injected and transferred after injection into CD1 acceptor mice. By this we will obtain at least 5 pups/session. No guarantee is made on viability or genotype of the offspring. The use of an alternative donor strain can influence the price and can only be considered after discussion. Please download and sign the respective microinjection agreement form. If no founders are born in the first zygote injection session, a second session will be run for free. If a third or fourth session is desired by the user, these will be run at 50% of the cost of this agreement. The mentioned list prices in Addendum A are exclusive of VAT. External invoices will be subject to 18% overhead which is not included yet in the list price.
