CODE REGULATIONS. The parties hereto acknowledge that Lender intends to treat the Loan as real property within the meaning of Section 856(c)(4)(A) and 856(c)(5)(B) of the Internal Revenue Code of 1986, as amended (the “Code”), and to treat interest on the Loan as interest on an obligation secured by a mortgage on real property or on an interest in real property for purposes of Section 856(c)(3)(B) of the Code, all as consistent with Internal Revenue Service Revenue Procedure 2003-65. In furtherance of the foregoing, after the date hereof Borrower shall, at Lender’s expense, take any action at the reasonable request of the Lender, or omit taking any action, in each case, as necessary in order to cause the Loan to constitute real property as described in the preceding sentence or cause any amounts received pursuant to the Loan to be considered as income qualifying under Section 856(c)(2) and 856(c)(3); provided, however, that Borrower shall not be required to take any action under this Section 6.39 that would materially increase Borrower’s obligations or materially decrease Borrower’s rights under the Loan Documents. For the avoidance of doubt, the Loan Documents as drafted as of the date hereof shall not cause the Loan to be in violation of the foregoing provisions.

  • Fire Regulations All Exhibitors must comply with the regulations of the local authority and applicable law as they relate to the design and construction of Exhibition stands, and the use of suitably fireproofed materials.

  • RULES & REGULATIONS The Exhibitor must comply with the requirements of all Authorities and where applicable with all rules and regulations issued by the owner of the Venue in force at the time of the Exhibition. The Exhibitor undertakes to comply with the obligations and duties contained or referred to in the Contract including (without limitation) those contained or to be contained in the Exhibitors’ Manual. Exemptions from any of these obligations and duties may be granted at the Organisers’ discretion. No exemption given by the Organisers will be effective unless in writing.   • SAFETY REGULATIONS Equipment shall meet all State and Federal safety regulations.

  • Export Regulations Licensee agrees and accepts that Software may be subject to import and export laws of any country, including those of the European Union and United States (specifically the Export Administration Regulations (EAR)). Licensee acknowledges that it is not a citizen, national, or resident of, and is not under control of the governments of Cuba, Iran, North Korea, Sudan or Syria and is not otherwise a restricted end-user as defined by applicable export control laws. Further, Licensee acknowledges that it will not download or otherwise export or re-export Software or any related technical data directly or indirectly to the above-mentioned countries or to citizens, nationals, or residents of those countries, or to any other restricted end user or for any restricted end-use.

  • Applicable Regulations If an issue relating to investments is covered both by this Agreement and by the national legislation of one Contracting Party or by international conventions, existing or to be subscribed to by the Parties in the future, the investors of the other Contracting Party shall be entitled to avail themselves of the provisions that are the most favourable to them.

  • Regulations The disclosures in the Registration Statement, the Sale Preliminary Prospectus, and Prospectus concerning the effects of federal, foreign, state, and local regulation on the Company’s business as currently contemplated are correct in all material respects and do not omit to state a material fact necessary to make the statements therein, in the light of the circumstances in which they were made, not misleading.

  • Export Regulation You acknowledge that the Licensed Software and related technical data and services (collectively "Controlled Technology") are subject to the import and export laws of the United States, specifically the U.S. Export Administration Regulations (EAR), and the laws of any country where Controlled Technology is imported or re-exported. You agree to comply with all relevant laws and will not to export any Controlled Technology in contravention to U.S. law nor to any prohibited country, entity, or person for which an export license or other governmental approval is required. All Symantec products, including the Controlled Technology are prohibited for export or re-export to Cuba, North Korea, Iran, Syria and Sudan and to any country subject to relevant trade sanctions. You hereby agree that You will not export or sell any Controlled Technology for use in connection with chemical, biological, or nuclear weapons, or missiles, drones or space launch vehicles capable of delivering such weapons.

  • CODES AND REGULATIONS The Contractor shall strictly comply with all Federal, State and local codes and regulations.
