Code; PPSA Clause Samples

The 'Code; PPSA' clause establishes that the agreement is subject to relevant commercial codes and the Personal Property Security Act (PPSA). In practice, this means that the rights and obligations of the parties, especially regarding security interests in personal property, are governed by these legal frameworks. For example, it may clarify how security interests are perfected or enforced under the PPSA. The core function of this clause is to ensure that the agreement aligns with statutory requirements, providing legal certainty and protecting the interests of secured parties.
