Common use of Code Compliance Clause in Contracts

Code Compliance. Notwithstanding any provision in this Agreement to the contrary, each Partner’s Capital Account shall be maintained and adjusted in accordance with the Code and the Regulations thereunder, including without limitation (i) the adjustments permitted or required by Code section 704(b) and, to the extent applicable, the principles expressed in Code section 704(c) and (ii) the adjustments required to maintain capital accounts in accordance with the “substantial economic effect test” set forth in the Regulations under Code section 704(b).

Code Compliance. Notwithstanding any provision in this Agreement to the contrary, each PartnerMember’s Capital Account shall be maintained and adjusted in accordance with the Code and the Regulations thereunder, including including, without limitation limitation, (i) the adjustments permitted or required by Code section Section 704(b) and, to the extent applicable, the principles expressed in Code section Section 704(c) and (ii) the adjustments required to maintain capital accounts in accordance with the “substantial economic effect test” set forth in the Regulations under Code section Section 704(b).
