Common use of Co-ordinator Clause in Contracts

Co-ordinator. 4.1 The co-ordinator shall, with the assistance of the PEB and in co-ordination with the PMB, administer the contract, ensure the scientific management and direction of the project and liaise between the parties and the Commission. To this effect, the co-ordinator shall discharge on behalf of the parties such duties as are defined by the contract and/or this agreement. 4.2 The co-ordinator's tasks shall be as specified in the contract including Annex 1 (Description of Work) thereto, and in particular: (a) negotiation and signature of the contract; (b) relationship and correspondence with the Commission and third parties; (c) keeping the FR's informed without delay of any event, decision or correspondence related to the project or the contract; (d) administration, preparation of minutes and follow-up of the meetings of - and of decisions taken by the PMB and the PEB and any other administrative task; (e) ensuring the continuity of the project between meetings of the PMB and between meetings of the PEB; (f) overall supervision of progress relative to the time schedules and (g) collection and submission to the Commission of project deliverables and any other project-related documents; (h) subject to approval by the PMB, appointment of the activity managers and the Technical Director. 4.3 The contractors are deemed to approve the contract terms. Following signature of the contract the co-ordinator shall not submit proposals for changes to the contract to the Commission, or accept proposals for changes to the contract from the Commission, nor perform any act which implies a financial or other commitment for any party without the previous written consent of the party(ies) concerned. 4.4 The liability of the co-ordinator for the tasks specified in this article 4 shall be deemed included in, and shall be limited to, its liability as a contractor under Annex II (General Conditions) to the contract. 4.5 The co-ordinator shall carry out its tasks through the PD. The PD shall be appointed for the duration of the project by the co-ordinator subject to prior approval of the PMB and the Commission. The PD's responsibilities shall be as described in particular in Annex 1 (Description of Work) to the contract. The PD shall be assisted by the PO, the PEB and the EAC. The Technical Director shall act as deputy of the PD.

Co-ordinator. 4.1 Appointment of the Co-ordinator 9.1 The coCo-ordinator, designated above, is a Party and accordingly party to this Consortium Agreement. By their execution of this Consortium Agreement the Parties agree to, and the Co-ordinator shallaccepts, with the assistance of the PEB and in co-ordination with the PMB, administer the contract, ensure the scientific management and direction of the project and liaise between the parties and the Commission. The PD shall be appointed for the duration of the project Project, subject to the provisions aftermentioned. 9.2 The Co-ordinator may, by the coprovision of no less than twelve months written notice to each Party, resign from the position of Co-ordinator, where the Co-ordinator subject is able to prior approval provide appropriate evidence that due to circumstances out with the reasonable control of the PMB Co-ordinator it is no longer reasonably able to perform the duties of Co-ordinator. 9.3 The Commission shall, at all times during any resignation or appointment process, as detailed above, be kept informed. 9.4 The Co-ordinator is and shall be the single point of contact between the Parties and the Commission. The PD's responsibilities Other than where expressly provided in this Consortium Agreement, any information, report or other correspondence which a Party, pursuant to the provisions of this Consortium Agreement or of the Contract, shall be as described required to communicate to the Commission, shall be provided to the Co-ordinator for onward transmission. The Co-ordinator shall forward any such correspondence promptly. 9.5 Notwithstanding the provisions contained in particular in Annex 1 Clause 7.14, the Co-ordinator shall consider and arrange for the following tasks (Description among others) to be undertaken: a) The organisation, planning and coordination of Workthe Project; b) Co-ordinating and monitoring the progress of the Workpackages, Workpackage Teams and the Project; c) Deciding on amendment(s) to the contractbudget allocated to any Workpackage Team where such amendment(s) results in an amendment(s) to the budget which in aggregate do not exceed 9,999 Euros; d) Any issue concerning the proper operation of the Consortium and/or the Project including minor changes to Workpackages; e) Ensuring the timeous compilation and delivery of reports to the Commission; f) Providing a progress report in every six months period to the Parties subject to the timeous receipt of progress reports every six months from each Workpackage Team Leader; g) Communicating all information in connection with the Project to the Commission; h) Receiving the entire financial contribution from the Commission. The PD Co-ordinator shall manage this contribution by allocating it to the Parties pursuant to the Implementation plan and the Contract; i) Seeking to resolve disputes that arise between Parties and/or referring disputes to the Steering Committee as the Co-ordinator, in its discretion, considers appropriate provided that where the dispute involves the Co-ordinator, the dispute shall be assisted by referred to the PO, Steering Committee; and j) Convening meetings in accordance with Clause 8.8. 9.6 The Co-ordinator shall not be entitled to make any representation or commitment on the PEB and the EAC. The Technical Director shall act as deputy part of the PDParties or any of the Parties other than to the extent expressly authorised in the Contract or in this Consortium Agreement.

Following signature of the contract Grant Agreement the coCo-ordinator shall not submit proposals for changes to the contract Grant Agreement to the Commission, or accept proposals for changes to the contract Grant Agreement from the Commission, nor perform any act which implies a financial or other commitment for any party Party without the previous written consent of the party(iesParty(ies) concerned. 4.4 The liability of the coCo-ordinator for the tasks specified in this article 4 Article 4.2 shall be deemed included in, and shall be limited to, its liability as a contractor Beneficiary under Annex II (General Conditions) to the contractGrant Agreement. 4.5 The coCo-ordinator shall carry out its tasks through the Project Director (PD. The PD ) or, as the case may be, his/her deputy who shall both be appointed for the duration of the project by the co-ordinator subject to prior approval of the PMB and the Commission. The PD's responsibilities shall be as described in particular in Annex 1 (Description of Work) to the contract. The PD shall be assisted by the PO, the PEB and the EAC. The Technical Director shall act as deputy of the PDCERN staff members.

Co-ordinator. 4.1 The coCo-ordinator shallshall be the intermediary between the Contractors and the Commission and shall perform all tasks assigned to it as described in the Contract and hereunder. The Co-ordinator is re- sponsible for the overall management of the Project. In particular, the Co-ordinator shall be responsible for: Vis-à-vis the Commission: i. signing the Contract with the assistance Commission after authorisation by all the Contractors represent- ing at least eighty percent (80%) of the PEB and in co-ordination with Project Shares; ii. receiving the PMB, administer the contract, ensure the scientific management and direction of the project and liaise between the parties and entire financial contribution from the Commission. Following signature of the contract the co-ordinator shall not submit proposals for changes to the contract v. submitting documentation to the Commission, including all reports, Project Deliverables and any other necessary information required. If one or accept proposals for changes more Contractors are late in submission of deliverables under the Contract, the Co-ordinator may submit the other Contractors’ delivera- bles to the contract from Commission. vi. presenting amendments to the Commission, nor perform any act which implies a financial or Contract approved by the Management Board to the Commis- sion. Vis-à-vis the other commitment for any party without Contractors: i. organising the previous written consent activities and chairing the meetings of the party(ies) Management Board and Scientific and Technological Advisory Board; ii. forwarding any documents and information connected with the Contract performance to the Management Board and Scientific and Technological Advisory Board and the Contractors concerned.; 4.4 The liability iii. setting up an Handbook for the Project’s management to be approved by the Management Board; iv. acting as an intermediate between the Contractors; v. following up the Project expenses and monitoring the cost statements prepared and certified by the Contractors; vi. transferring sums allocated among the Contractors as per their Project Shares according to the decisions of the coManagement Board and keeping related records identifying what portion of the payments made by the Commission has been allocated and/or paid to each Contractor. Except in its capacity as the representative of the Contractors described in the Contract, the Co- ordinator shall not be entitled to act or to make legally binding declarations on behalf of any other Con- tractor nor to enlarge its role beyond the one described herein and in the Contract. The position of Co-ordinator for the tasks specified in this article 4 shall be deemed included in, and shall be limited to, its liability as a contractor under Annex II (General Conditions) is entrusted to the contractContractor UNICAL. 4.5 The co-ordinator shall carry out its tasks through the PD. The PD shall be appointed for the duration of the project by the co-ordinator subject to prior approval of the PMB and the Commission.
