CLR. If on the dissolution or winding up of CLR there remain after the satisfaction of all its debts and liabilities and the repayment of the paid up share capital, any assets whatsoever, such assets shall be transferred to another body which in the opinion of the Shareholder/Member of CLR is carrying on the same or similar function to that previously carried out by CLR in compliance with the Regulatory Standards.

CLR. CLR shall, and shall cause each of the CLR Subsidiaries to, comply with each representation and statement made, or to be made, to any taxing authority in connection with any ruling obtained, or to be obtained, by Culbro, Holdings and CLR acting together, from any such taxing authority with respect to any transaction contemplated by this Agreement; and until the second anniversary of the Distribution Date, neither CLR nor any of the CLR Subsidiaries shall take or omit any action inconsistent therewith, unless (i) required to do so by law, (ii) permitted to do so by the prior written consent of Culbro, (iii) pursuant to a favorable supplemental ruling letter reasonably satisfactory to Culbro that such act or omission would not adversely affect the tax consequences of the Distribution to Culbro or to the stockholders of Culbro, as set forth in any ruling issued by any taxing authority or (iv) pursuant to an opinion of ▇▇▇▇▇▇ & ▇▇▇▇▇▇▇ (or, in the event of a conflict, of another national law firm mutually acceptable to the parties hereto) reasonably satisfactory to Culbro that such act or omission would not adversely affect the tax consequences of the Distribution to Culbro or to the stockholders of Culbro. Neither CLR nor any of the CLR Subsidiaries has a present intention to take or omit any such action.
CLR. 5.1.1. Unless otherwise agreed by the Board, CLR shall procure that meetings of the Board shall be held not fewer than four (4) times per year and otherwise as circumstances require. Meetings of the Board shall normally be convened on three (3) Business Days' notice, unless administrative circumstances exist which require the calling of the meeting on shorter notice.
5.1.2. The quorum for the transaction of business at any meeting of the Board shall be two Independent Directors.
