Closing Date Opinion of Outside Counsel. On the Closing Date, the Placement Agent shall have received the favorable opinion of O'Melveny & Xxxxx LLP, outside counsel to the Company, and dated the Closing Date, addressed to the Placement Agent and in form and substance reasonably satisfactory to Xxxxx Xxxxxxx Xxxxxx & Xxxxxx LLP, counsel to Placement Agent, to the effect that subject to certain assumptions, qualifications and exceptions:

  • Closing Date Opinion of Counsel On the Closing Date, the Representative shall have received the favorable opinion of Xxxxx Xxxxxxx LLP, counsel to the Company, dated the Closing Date and addressed to the Representative, substantially in the form of Exhibit D attached hereto.
