Option Closing Date Opinions of Counsel. On the Option Closing Date, if any, the Representative shall have received the favorable opinions of each counsel listed in Sections 4.2.1 and 4.2.2, dated the Option Closing Date, addressed to the Representative and in form and substance reasonably satisfactory to the Representative, confirming as of the Option Closing Date, the statements made by such counsels in their respective opinions delivered on the Closing Date.
Option Closing Date Opinions of Counsel. (a) On the Option Closing Date, if any, the Underwriters shall have received the opinion of Xxxxxxxxxx & Xxxxx LLP and letter of negative assurance listed in Section 4.2.1(a), in each case dated the Option Closing Date addressed to the Underwriters and in form and substance reasonably satisfactory to the Managing Underwriter, confirming as of the Option Closing Date, the statements made by such counsel in its respective opinion and letter of negative assurance delivered on the Closing Date.

On the Option Closing Date, if any, the Underwriter shall have received the favorable opinion of (i) Xxxxxxx Procter LLP, U.S. legal counsel to the Company and (ii) Xxxxxx & Xxxxxxx PC, Xxxxxxxx Islands counsel to the Company, dated the Option Closing Date, addressed to the Underwriter and in form and substance reasonably satisfactory to the Underwriter, confirming as of the Option Closing Date, the statements made by such counsel in its opinion delivered on the Closing Date.

On the Option Closing Date, if any, the Representative shall have received the favorable opinions of L&L, dated the Option Closing Date, addressed to the Representative and in form and substance reasonably satisfactory to the Representative, confirming as of the Option Closing Date, the statements made by L&L in its opinion delivered on the Closing Date.

On each Option Closing Date, if any, the Representative shall have received the favorable opinion of Loeb and Ogier, dated each Option Closing Date, addressed to the Representative and in form and substance reasonably satisfactory to counsel to the Representative, confirming as of each Option Closing Date, the statements made by Loeb and Ogier in their opinions delivered on the Closing Date.

On the Option Closing Date, if any, the Representative shall have received opinions of Xxxxxx Xxxxx, Xxxxxx Xxxxxxx, Seed, RGC Xxxxxxx, Xxxxxxx Coie and Xxxxxx Xxxxx, each dated the Option Closing Date, addressed to the Underwriters and in form and substance reasonably satisfactory to the Representative, confirming as of the Option Closing Date, the statements made by Xxxxxx Xxxxx, Xxxxxx Xxxxxxx, Seed, RGC Xxxxxxx, Xxxxxxx Coie and Xxxxxx Xxxxx in their respective opinions delivered on the Closing Date.

On the Option Closing Date, if any, the Representative shall have received the favorable opinion and negative assurance letter of Company Counsel and Singapore Counsel, dated the Option Closing Date, addressed to the Representative and in form and substance reasonably satisfactory to the Representative, confirming as of the Option Closing Date, the statements made by such counsel in its opinion delivered on the Closing Date.

On each Option Closing Date, if any, the Representative shall have received the favorable opinion of Maslon LLP, dated the Option Closing Date, addressed to the Representative and in form and substance reasonably satisfactory to the Representative, confirming as of the Option Closing Date, the statements made by such counsels in their respective opinions delivered on the Closing Date.

On each Option Closing Date, if any, the Representative shall have received the favorable opinion of Mintz, Levin, Cohn, Ferris, Glovsky and Popeo, P.C. dated the Option Closing Date, addressed to the Representative and in form and substance reasonably satisfactory to the Representative, confirming as of the Option Closing Date, the statements made by such counsel in their respective opinion delivered on the Closing Date.
