The obligations of each party to this Agreement to consummate the transactions contemplated by this Agreement and the other Transaction Documents that, by their nature, are to be consummated at the Closing by it are subject to the satisfaction (or waiver by all parties to this Agreement), at or prior to the Closing, of the following conditions:
