Closing Closing Date and Consideration. 3.1 The Closing and Closing Date The closing of the transactions contemplated hereby (the "Closing") shall take place at the offices of Xxxx Xxxxxxx, P.C., 1350 Avenue of the Americas, 00xx Xxxxx, Xxx Xxxx, Xxx Xxxx at 10 a.m. local time upon the satisfaction or waiver of all conditions set forth in Sections 7 and 8 (other than conditions with respect to actions the respective Parties will take at the Closing itself) or such other date as the Parties may mutually determine, or, if the Parties mutually agree, via the exchange of fully-executed, counterpart signature pages via facsimile or overnight courier. The time and date of the Closing is hereinafter referred to as the "Closing Date."
