Common use of Closing Certificate Clause in Contracts

Closing Certificate. Seller shall have delivered to Buyer a certificate, dated the Closing Date and duly executed by Seller, certifying that the conditions set forth in Sections 6.2(a) and 6.2(b) have been satisfied.

Seller shall have delivered to Buyer received a certificate, dated the Closing Date and signed by a duly executed by Sellerauthorized officer of the Buyer, dated as of the Closing, certifying that each of the conditions set forth specified in Sections Section 6.2(a) and Section 6.2(b) have been fully satisfied.

Closing Certificate. Seller shall have delivered to Buyer received a certificatecertificate from Purchaser, dated the Closing Date and duly executed by SellerDate, certifying that the conditions set forth specified in Sections 6.2(a7.5(a) and 6.2(b7.5(b) have been satisfiedfulfilled.

Closing Certificate. Seller Buyer shall have delivered to Buyer received from each Seller a certificate, certificate (dated the Closing Date and duly in form and substance reasonably satisfactory to Buyer) executed by each Seller, respectively, certifying that the conditions set forth specified in Sections 6.2(asubsection (b) and 6.2(b(c) of this Section 7.1 have been satisfiedfulfilled.

Closing Certificate. Seller Buyer shall have delivered to Buyer Seller a certificate, dated the Closing Date and duly executed by SellerBuyer, certifying that the conditions set forth in Sections 6.2(a7.3(a) and 6.2(b7.3(b) have been satisfied.

Closing Certificate. Seller shall have delivered to Buyer a certificate, dated the Closing Date and duly executed by Seller, certifying that the conditions set forth in Sections 6.2(a7.2(a) and 6.2(b7.2(b) have been satisfied.

For avoidance of doubt, for the purposes of Section 7.2, the Sellers Closing Certificate shall for all purposes be deemed to be a complete restatement, as of the Closing Date, by Sellers of the representations and warranties set forth in Article 2.

Seller Buyer shall have delivered (or be ready, willing and able to Buyer deliver at Closing) to Sellers a certificate, certificate dated the Closing Date and duly executed by Seller, certifying that the conditions set forth specified in Sections 6.2(a7.2(c) and 6.2(b7.2(d) have been satisfiedfulfilled.

Closing Certificate. Seller Buyer shall have delivered to Buyer Seller a certificate, signed by an officer of Buyer, dated as of the Closing Date and duly executed by SellerDate, certifying to the effect that the conditions set forth specified in Sections 6.2(aSection 7.3(a) and 6.2(bSection 7.3(b) have been satisfied.

Closing Certificate. The Seller shall have delivered to the Buyer a certificate, dated the Closing Date and duly executed by the Seller, certifying that the conditions set forth specified in Sections 6.2(a) 8.1 and 6.2(b) 8.2 have been satisfiedfulfilled.

Closing Certificate. Seller Buyer shall have delivered to Buyer received a certificate, dated the Closing Date and duly executed by Sellersigned on behalf of Selling Parties, certifying that each of the conditions set forth in Sections 6.2(aSection 7.02(a), Section 7.02(b) and 6.2(bSection 7.02(c) have been satisfied.

Closing Certificate. Seller shall have delivered to Buyer a certificate, dated the Closing Date and duly executed by Seller, certifying that the conditions set forth in Sections 6.2(a4.2(a) and 6.2(b4.2(b) have been satisfied.

Closing Certificate. Seller Sellers shall have delivered (or be ready, willing and able to deliver at Closing) to Buyer a certificate, certificate dated the Closing Date and duly executed by Seller, certifying that the conditions set forth specified in Sections 6.2(aSection 7.1(d), Section 7.1(e) and 6.2(bSection 7.1(f) have been satisfiedfulfilled.

Closing Certificate. Seller Buyer shall have delivered to Buyer Seller a certificate, dated the Closing Date and duly executed by SellerDate, certifying that the conditions set forth specified in Sections 6.2(a) Section 5.2.1 and 6.2(b) 5.2.2 have been satisfied.
