Except as the Association shall otherwise agree, the CLM shall be composed of, among others, representatives of the MOHP, MEF, MOE, the Ministry of Agriculture, the Ministry of Local Government, the Ministry of Planning, and LG Associations.

CLM. CFP agrees to indemnify and hold harmless CLM and each of CLM's directors and officers from and against any and all losses, claims, liabilities or expenses (including, without limitation, the payment of reasonable legal fees and reasonable costs of investigation) to which jointly and severally, CLM or any of its directors or officers may become subject, insofar as any such loss, claim, damage, liability or expense (or actions with respect thereto) arises out of or is based on any breach by CFP of any of its representations, warranties, covenants or agreements set forth in this Agreement.
