Common use of Client License Clause in Contracts

Client License. Subject to the terms and conditions of this Rider, Client hereby appoints Clowder as an independent licensee in the Territory and hereby grants Clowder a license with the following rights, as necessary for Clowder to provide the Service in accordance with this Rider and the applicable Order Forms: to bundle, concoct, copy, use, host, transmit and display, modify, and integrate the Client Content in connection with the Clowder Platform and the Service and the related marketing materials; to publish the Clowder Platform, including Client Content on the AppStore, Google Play, and other platforms, and operate any Service accounts on such platforms if and as agreed upon by the Parties; co-brand the Service with Client Marks, as a primary mark (i.e. the name of the Service) and Clowder Marks, as the secondary marks (i.e., the reference to the platform and Clowder as the publisher, e.g., “Powered by Clowder®” or “Published by Clowder ®”; and, if applicable, the right to use, reproduce, publish, perform, and display the Client Marks: (i) on the websites in connection with the posting of links to the Service; and (ii) in connection with the development, use, and reproduction in promotional and marketing materials and electronic and printed advertising, publicity, press releases, newsletters, and mailings about the Ser- vice, as agreed upon by the Parties hereunder.
