Client Facilities and Assistance Clause Samples
Client Facilities and Assistance. To the extent reasonably required by Copperleaf, Client will, at its own cost, make available to Copperleaf certain of its facilities, computer resources, software programs, personnel and business information as will be required to perform any Services hereunder. Without limiting the generality of the foregoing, Client will perform such additional responsibilities, if any, as may be specified in a SOW. If Client fails to fulfill its responsibilities in a proper and timely manner and such failure is a direct cause of a delay in the performance of the Services or results in additional cost to Copperleaf, then Copperleaf may charge the Client for such additional costs and will be entitled to rescope the Services, including applying any additional charges to account for such delay.

To the extent required by RIGID, Client will at its own cost make available to RIGID certain of its facilities, computer resources, software programs, personnel, and business information as will be required to perform any Project hereunder. Without limiting the generality of the foregoing, Client will perform such additional responsibilities, if any, as may be described in a SOW. If Client fails to fulfill its responsibilities in a proper and timely manner and such failure is a direct cause of a delay in the performance of the Project or results in additional cost to RIGID, then RIGID will provide to Client a written specification of such delay and RIGID’s estimate of the resulting cost (if any). Client will pay to RIGID the cost at RIGID’s then current standard time and material rates and charges and any time limits for performance will be extended by a period equal to the length of the delay.

If Client fails to fulfill its responsibilities in a proper and timely manner and such failure is a direct cause of a delay in the performance of the Project or results in additional cost to Colligo, then Colligo will provide to Client a written specification of such delay and ▇▇▇▇▇▇▇’s estimate of the resulting cost (if any). Client will pay to Colligo the cost at Colligo’s then current standard time and material rates and charges and any time limits for performance will be extended by a period equal to the length of the delay.
