Common use of Clawback Provisions Clause in Contracts

Clawback Provisions. Notwithstanding any other provisions in this Agreement to the contrary, any incentive-based compensation, or any other compensation, paid to the Executive pursuant to this Agreement or any other agreement or arrangement with the Company which is subject to recovery under any law, government regulation or stock exchange listing requirement (including, without limitation, any changes required to comply with the Dxxx-Fxxxx Xxxx Street Reform and Consumer Protection Act), will be subject to such deductions and clawback as may be required to be made pursuant to such law, government regulation or stock exchange listing requirement (or any policy adopted by the Company pursuant to any such law, government regulation or stock exchange listing requirement).

Clawback Provisions. Notwithstanding any other provisions in this Agreement to the contrary, any incentive-based compensation, or any other compensation, paid to the Executive pursuant to this Agreement or any other agreement or arrangement with the Company Parent, or any of its Subsidiaries or affiliates (including the Company), which is subject to recovery under any law, government regulation or stock exchange listing requirement (includingrequirement, without limitationare subject to the Parent’s Clawback & Recoupment Policy approved by the Board as of February 27, 2019 and any changes required to comply with the Dxxx-Fxxxx Xxxx Street Reform amendments thereto and Consumer Protection Act), will be subject to such deductions and clawback as may be required to be made pursuant to such law, government regulation or stock exchange listing requirement (or any policy adopted by the Company Parent or any of its Subsidiaries or affiliates (including the Company) pursuant to any such law, government regulation or stock exchange listing requirement).

Notwithstanding any other provisions in this Agreement to the contrary, any incentive-based compensation, or any other compensation, paid to the Executive pursuant to this Agreement or any other agreement or arrangement with the Company Parent, or any of its Subsidiaries or affiliates (including the Company), which is subject to recovery under any law, government regulation or stock exchange listing requirement (includingrequirement, without limitationare subject to the Parent’s Clawback & Recoupment Policy approved by the Board as of February 27, 2019 and any changes required to comply with the Dxxx-Fxxxx Xxxx Street Reform amendments thereto and Consumer Protection Act), will be subject to such deductions and clawback as may be required to be made pursuant to such law, government regulation or stock exchange listing requirement (or any policy adopted by the Company Parent or any of its 18 Subsidiaries or affiliates (including the Company) pursuant to any such law, government regulation or stock exchange listing requirement).

Clawback Provisions. Notwithstanding any other provisions in this Agreement to the contrarycontrary (but subject to compliance with Section 409A, as applicable), any incentive-based compensation, or any other compensation, paid to the Executive pursuant to this Agreement or any other agreement or arrangement with the Company which that is subject to recovery under any law, government regulation or stock exchange listing requirement (including, without limitation, any changes required to comply with the Dxxx-Fxxxx Xxxx Street Reform and Consumer Protection Act), will be subject to such deductions and clawback as may be required to be made pursuant to such law, government regulation or stock exchange listing requirement (or any policy adopted by the Company pursuant to the extent it implements the requirements of any such law, government regulation or stock exchange listing requirement).

Clawback Provisions. Notwithstanding any other provisions in this Agreement to the contrary, any incentive-based compensation, or any other compensation, paid to the Executive pursuant to this Agreement or any other agreement or arrangement with the Company or its Subsidiaries, which is subject to recovery under any lawstatute, government regulation or stock exchange listing requirement (including, without limitation, any changes required to comply with the Dxxx-Fxxxx Xxxx Street Reform and Consumer Protection Act)requirement, will be subject to such deductions and clawback as may be required to be made pursuant to such lawstatute, government regulation or stock exchange listing requirement (or any policy adopted by the Company or its Subsidiaries pursuant to any such lawstatute, government regulation or stock exchange listing requirement).
