Claw Back Policy. Each Award Opportunity granted, and each Share paid, pursuant to this Plan shall be subject to the terms and conditions of the Claw-back Policy of ▇▇▇▇▇▇-▇▇▇▇▇▇▇▇ Corporation that applies to compensation granted or paid on or after July 1, 2009 (as may be amended and restated from time to time) and the ▇▇▇▇▇▇-▇▇▇▇▇▇▇▇ Corporation Section 16 Officer Clawback Policy (as may be amended and restated from time to time), to the extent provided under the terms of each such policy.
