Clauses 27 Sample Clauses
Clauses 27. 3 and 27.4 do not apply to any Security Interest or (as the case may be) Quasi-Security, listed below:
(a) those granted or expressed to be granted by any of the Security Documents;
(b) in relation to a Mortgaged Ship, Permitted Maritime Liens;
(c) in relation to any other vessel:
(i) unless a Default is continuing, any ship repairer's or outfitter's possessory lien in respect of such vessel for an amount not exceeding $250,000 or the equivalent in any other currency;
(ii) any lien on such vessel for master's, officer's or crew's wages outstanding in the ordinary course of its trading; and
(iii) any lien on such vessel for salvage; and
(d) (except in relation to Charged Property) any other lien arising by operation of law in the ordinary course of trading and not as a result of any default or omission by any Group Member.
Clauses 27. 9 to 27.11 (Limitation of responsibility of Existing Lenders) shall apply mutatis mutandis in these clauses 2.3 to 2.11 in relation to an Increase Lender as if references in those clauses to:
Clauses 27. 5.1 and 27.5.2 above will override any appropriation made by the Borrower.
Clauses 27. 1 and 27.2 shall also apply to disputes arising out of or in connection with agreements which are connected with this Agreement, unless the relevant agreement expressly provides otherwise.
Clauses 27. 5.1 and 27.5.2 will not apply in circumstances where the employee is recalled to work in accordance with clause 27.5—Call-back.
Clauses 27. 5 to 27.7 do not apply to a period of annual leave that an Employee is required to take during a temporary shutdown period in accordance with clause 27.4
Clauses 27. 1 to 27.6 (inclusive) shall not apply to the extent any IPR Claim arises from:
27.7.1 any use by the Commission of the Services in combination with any item not supplied or approved by the Contractor (or otherwise provided for or anticipated by this Service Agreement); or
27.7.2 any modification carried out by the Commission to any item supplied by the Contractor under this Service Agreement where such modification is not authorised by the Contractor; or
27.7.3 the wilful misconduct of the Commission.
