Class B Notes Subordinate to Class A Notes Sample Clauses

Class B Notes Subordinate to Class A Notes. Notwithstanding anything to the contrary contained herein or in any other Related Document, the Class B Notes will be subordinate in all respects to the Class A Notes. No payments on account of interest shall be made with respect to the Class B Notes until all payments of interest then due and payable with respect to the Class A Notes (including, without limitation, all accrued interest, all interest accrued on such accrued interest, and all Class A Deficiency Amounts) have been made in full. The Class B Notes shall be subordinated to the Class A Notes, such that (i) no payments on account of principal shall be made with respect to the Class B Notes until the Class A Notes have been paid in full, and (ii) with respect to the allocations of Losses and Recoveries at any time and any repurchase of Notes pursuant to Section 8.1 of this Supplement, the Class B Notes shall be subordinated to the Class A Notes.

The Class B-2 Notes will be subordinated to the Class A-3 Notes, such that no payments on account of principal shall be made with respect to the Class B-2 Notes until the Class A-1 Notes, Class A-2 Notes and Class A-3 Notes have been paid in full (except as may otherwise be required in connection with a Waiver Event). The Class B-3 Notes will be subordinated to the Class A-4 Notes, such that no payments on account of principal shall be made with respect to the Class B-3 Notes until the Class A-1 Notes, Class A-2 Notes, Class A-3 Notes and Class A-4 Notes have been paid in full (except as may otherwise be required in connection with a Waiver Event); provided, however, that with respect to (x) allocations and payments on account of principal during a Series 1996-1 Rapid Amortization Period, and (y) allocation of Losses and Recoveries at any time, all of the Class B Notes will be subordinated to the Class A Notes, as specified herein.
